Item 5: Fees and Compensation The fees applicable to each of the Funds are set forth in detail in the corresponding Offering Documents. A brief summary of such fees is provided below. Management Fee With respect to the Foundation Funds, Atreides is paid, in advance, an investment management fee (“Foundation Management Fee”) for management services for each fiscal quarter. The Foundation Management Fee will generally range between 1.25% and 1.75% (annualized) of the net asset value of each series of interests of the Foundation Master Fund corresponding to each Investor’s interest or shares in the Foundation Feeder Funds as of the beginning of such fiscal quarter (before taking into account the estimated Atreides Management, LP Form ADV Part 2A Brochure accrued incentive allocation). With respect to the 150/50 Technology Funds, Atreides is paid, in advance, an investment management fee (“150/50 Technology Management Fee”) for management services for each fiscal quarter. The 150/50 Technology Management Fee is generally 1.0% (annualized) of the net asset value of each series of interests of the 150/50 Technology Master Fund corresponding to each Investor’s interest or shares in the 150/50 Technology Feeder Funds as of the beginning of such fiscal quarter (before taking into account the estimated accrued incentive allocation). With respect to the Private Opportunities Funds, Atreides is paid, in advance, an investment management fee (“Private Opportunities Management Fee”) for management services for each fiscal quarter. The Private Opportunities Management Fee will generally range between 1.75% and 2.0% (annualized) of the Private Opportunities Master Fund’s capital commitments during the Private Opportunities Funds’ investment period, and thereafter, between 1.25% and 1.5% (annualized) of the Private Opportunities Master Fund’s aggregate invested capital by each Investor in the Private Opportunities Funds less, in the case of any such investment that has been permanently written off, the amount of such write-off. With respect to the VAAI Funds, the Firm and Valor, in their capacities as co-investment managers of the VAAI Funds, are paid, in advance, an investment management fee (“VAAI Management Fee”) for each fiscal quarter. The VAAI Management Fee is generally 2.0% (annualized) of the VAAI Funds’ aggregate capital commitments. Commencing with the first VAAI Management Fee due date after the expiration of the VAAI Funds’ investment period or earlier upon the occurrence of certain events as set forth in the VAAI Funds’ partnership agreements, the VAAI Management Fee will equal 2% of: (i) the aggregate Capital Contributions for portfolio investments (including for bridge financings), less (ii) the aggregate amount of capital contributions in respect of each portfolio investment that has been disposed of or permanently written down, as of the first day of the period in respect of which the VAAI Management Fee is then being paid. In addition, the VAAI Management Fee will be reduced by an amount equal to 100% of the limited partners’ (other than affiliates of the VAAI Fund GP) share of the VAAI Funds’ share of certain fees paid by portfolio companies. The Foundation Management Fee, the 150/50 Technology Management Fee, the Private Opportunities Management Fee and the VAAI Management Fee are collectively referred to herein as the “Management Fees” and each is referred to individually as the “Management Fee.” Investors in the Co-Investment Funds generally do not pay a management fee to Atreides. Atreides, in its sole discretion, may elect to waive, reduce or rebate the Management Fee with respect to certain Investors, including affiliates of Atreides and/or the Firm and their respective members, managers, partners, directors, officers and employees, any “friends and family” members thereof and members of the management advisory committee (the “Committee”, as defined in the Offering Documents) (and the family members and estate planning vehicles of the foregoing persons); provided, however, that no such waiver, reduction or rebate will adversely impact any other Investor or cause them to bear a higher portion of the Management Fee than they would bear absent such waiver, reduction or rebate. Separately managed account clients pay Atreides an asset-based management fee that is calculated monthly or quarterly, in accordance with the terms of each client’s agreement, and payable quarterly in arrears. Other Types of Fees or Expenses Foundation Funds Subject to variations in each Foundation Fund’s Offering Documents (and as further described therein), a Fund will pay, whether directly or through reimbursement of the Investment Manager or one of its affiliates, all costs and expenses related to its investments and its operations, including, without limitation, brokerage and other transaction costs, data fees, clearing and settlement charges, outsourced trading service expenses, trade break fees, research (including research-related travel expenses incurred with respect to specific potential or existing investments) and brokerage products, fees paid to consultants providing services in respect of such systems, that fall within Section 28(e) of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), costs of independent appraisals, broken-deal and/or unconsummated expenses associated with an Atreides Management, LP Form ADV Part 2A Brochure investment (including, for purposes of clarity, any portion of such expenses that could have been borne by a co-investment vehicle managed by Atreides, which will be allocated to the capital accounts of the A-3 or F-3 Investors (as defined in the Offering Documents) in proportion to their respective participating percentage ... |

Item 7: Types of Clients Our clients are the Funds and separately managed account clients, as described in Item 4 above. With respect to the Foundation Feeder Funds and the 150/50 Technology Feeder Funds, Investors must make initial commitments of no less than $3,000,000, unless such minimum is waived in accordance with the relevant Fund’s Offering Documents. With respect to the Private Opportunities Feeder Funds, Investors must make initial commitments of no less than $1,000,000, unless such minimum is waived in accordance with the Private Opportunities Funds’ Offering Documents. With respect to the Co-Investment Funds, the minimum commitment is dependent upon the specific co- investment opportunity, unless such minimum is waived in accordance with the Co-Investment Funds’ Offering Documents.
