Item 5 – Fees and Compensation
This Item details the fee structure and compensation methodology for services provided by the BayTrust. Each Client
engaging the Advisor for services described herein shall be required to enter into one more written agreement with the
Advisor.

   Fees for Advisory Services
Advisory Services
This section outlines BayTrust’s advisory services, associated fees, and compensation arrangements. Asset management
fees are charged in advance of each calendar quarter and will not exceed an annual rate of 2.00%. Specific fees and
terms are detailed in the advisory agreement executed between the Client and the Advisor. While our fees reflect the
scope and quality of services provided, comparable services may be available at lower cost from other sources. Either
party may terminate the agreement at any time with written notice. Clients may cancel within five (5) business days of
signing without penalty; thereafter, fees for services rendered through the termination date will be due, and any unearned,
prepaid fees will be refunded on a pro rata basis. Advisory agreements are nontransferable without the Client’s prior written
consent.

Advisory fees are calculated quarterly based on the prior quarter end assets under management and are deducted directly
from the Client’s custodial account. The Advisor submits an invoice to the Custodian, and Clients receive quarterly
statements reflecting the fee deduction. Clients are encouraged to compare the Advisor’s invoice with the Custodian’s
statement, as the Custodian does not verify fee accuracy. Written authorization for fee deduction is obtained through the
advisory agreement and related custodial documentation.

Financial Planning Services
Standalone financial planning services are offered on a fixed fee or hourly basis. Fixed fees typically range from $1,000
to $25,000, depending on the complexity and scope of the engagement, and are negotiable. Hourly engagements are
billed at a rate of $250 per hour. The Financial Planning Agreement outlines the scope of services, applicable fee structure,
and estimated project cost. For both fee types, 50% is due in advance, with the balance payable upon delivery of the final
plan within 6 months of the engagement for the plan. At no point will BayTrust collect more than $1,200 more than 6
months in advance.

Clients may terminate the agreement at any time with written notice. If terminated within five (5) business days of signing,
no fees will be charged. After that period, Clients are responsible for fees incurred for services rendered through the
termination date. Any unearned, prepaid fees will be refunded on a pro rata basis. Financial planning agreements are non-
transferable without the Client’s prior written consent.

Retirement Plan Advisory Services

 Retirement plan advisory fees are paid quarterly, in advance of each calendar quarter, pursuant to the terms of the
 agreement. Fees are based on the market value of assets under management at the end of the prior quarter.
 Retirement plan advisory fees range up to 1.50% annually.

 Retirement plan advisory fees may be directly invoiced to the Plan Sponsor or deducted from the assets of the Plan,
 depending on the terms of the retirement plan advisory agreement.

   Compensation for Sales of Securities
 BayTrust does not buy or sell securities to earn commissions and does not receive any compensation for securities
 transactions in any Client account, other than the wealth management fees noted above.

 and pension plans. BayTrust does not require a minimum relationship size.
