Item 5: Fees & Compensation
Compensation for Our Advisory Services
Comprehensive Portfolio Management:
Our firm’s maximum annual fee charged for this service will not exceed 1.50%. Fees to be assessed
will be outlined in the advisory agreement to be signed by the client. Our firm bills on cash unless
indicated otherwise in writing. Annualized fees are billed on a pro-rata basis monthly in advance
based on the time-weighted daily average value of the account(s) during the previous month. Fees

are negotiable and will be deducted from client account(s). As part of this process, clients understand
the following:
a) The client’s independent custodian sends statements at least quarterly showing the market
values for each security included in the assets and all account disbursements, including the
amount of the advisory fees paid to our firm.
b) Clients will provide authorization permitting our firm to be directly paid by these terms. Our
firm will send an invoice directly to the custodian.
c) If our firm sends a copy of our invoice to the client, our invoice will include a disclosure urging
the client to compare the information provided in our statement with those from the qualified
custodian.
In rare cases, our firm will agree to directly invoice when fees cannot be deducted from the client’s
account.
If our firm selects a third party money manager to aid in the management of a client account, the third
party money manager’s fee shall be in addition to our firm’s advisory fee. For SmartX accounts, there
is a combined fee for both SmartX platform access and brokerage and custody services of 7 basis
points, and most third-party money managers have internal fees as well, bringing the total SMA fee
between 9 – 44 basis points (inclusive of the 7 basis points platform fee). Each third party money
manager on the SmartX platform sets its own asset-based fee rate percentage. The third party money
managers that we select will not charge the client a higher fee than they would have charged without
us introducing the client to them. Third party money managers establish and maintain their own
separate billing processes over which we have no control. In general, third party money managers
will directly bill clients and describe how this works in their separate written disclosure documents.
The specific fee charged by a selected third party money manager will be disclosed in the signed
advisory agreement and/or in the custodial statements provided to clients.
Financial Planning & Consulting:
Our firm charges on an hourly or flat fee basis for financial planning and consulting services. The total
estimated fee, as well as the ultimate fee charged, is based on the scope and complexity of our
engagement with the client. The maximum hourly fee to be charged will not exceed $1,000. Flat fees
Flat fees will not exceed $20,000. The fee-paying arrangements will be determined on a case-by-case
basis and will be detailed in the signed consulting agreement. Our firm will not require a retainer
exceeding $1,200 when services cannot be rendered within 6 months.
Portfolio Monitoring:
The maximum annual fee charged for this service will not exceed 1.00%. Annualized fees are billed
on a pro-rata basis quarterly in advance based on the value of the account(s) on the last day of the
previous quarter. Fees are negotiable. Clients will be directly billed for our Portfolio Monitoring
service according to the terms outlined in their executed agreement. Our bill is due and payable
within 30 days.
Retirement Plan Consulting:
Our firm charges a fee based on the percentage of Plan assets under management that will not exceed
1.00%. The fee-paying arrangements will be determined on a case-by-case basis and will be detailed
in the signed consulting agreement.

Other Types of Fees & Expenses
Our firm recommends Goldman Sachs & Co. LLC (“Goldman Sachs”) as a custodian for client accounts.
Goldman Sachs RIA Custody Services are offered through Folio Investments, Inc., a registered broker-
dealer, member FINRA/SIPC. Goldman Sachs does not charge transaction fees for US listed equities
and exchange traded funds (“ETFs”).
Clients may also pay holdings charges imposed by the chosen custodian for certain investments,
charges imposed directly by a mutual fund, index fund, or exchange traded fund, which shall be
disclosed in the fund’s prospectus (e.g., fund management fees and other fund expenses), distribution
fees, surrender charges, variable annuity fees, IRA and qualified retirement plan fees, mark-ups and
mark-downs, spreads paid to market makers, fees for trades executed away from custodian, wire
transfer fees and other fees and taxes on brokerage accounts and securities transactions. Our firm
does not receive a portion of these fees.
Termination & Refunds
Either party may terminate the advisory agreement signed with our firm for the Asset Management
or Portfolio Monitoring service at any time by providing written notice to the other party. Upon notice
of termination, our firm will process a pro-rata refund of the unearned portion of the advisory fees
charged in advance.
Financial Planning & Consulting clients may terminate their agreement at any time before the
delivery of a financial plan by providing written notice to the other party. For the purposes of
calculating refunds, all work performed by us up to the point of termination shall be calculated at the
hourly fee currently in effect. Clients will receive a pro-rata refund of unearned fees based on the
time and effort expended by our firm.

Item 7: Types of Clients & Account Requirements
Our firm has the following types of clients:
• Individuals and High Net Worth Individuals
• Trusts, Estates or Charitable Organizations
• Pension and Profit Sharing Plans
• Corporations, Limited Liability Companies and/or Other Business Types
Our requirements for opening and maintaining accounts or otherwise engaging us:
• Our firm requires a minimum account balance of $5,000,000 for our Comprehensive Portfolio
Management. This minimum account balance requirement is negotiable and can be waived
at our firm’s discretion.
• Written financial plans are generally assessed a minimum fee of $1,500. |
