Item 5 – Fees and Compensation
Investment Management Services
As mentioned in Item 4 above, accounts may be managed directly by BPF, or may be
managed with the assistance of outside managers or outside platform providers to whom
certain responsibilities may be delegated. Fees and compensation for various
arrangements are detailed below.
SEI Private Trust Company Platform
Fees charged by BPF for investment management services managed under the SEI
Private Trust Company platform are generally based on total value of the account at
a rate negotiated on a case by case basis depending on the level of services provided
as part of the investment management engagement, whether financial planning
services are included, etc. BPF’s published fee schedule for this option is as follows:

* First $100,000 charged at 1.25%, next $400,000 charged at 0.95%, etc.
Fees are deducted directly from the account quarterly in arrears based on the
ending balance of the applicable billing quarter by the applicable custodian or
platform provider pursuant to the applicable governing documents. Partial periods
are prorated.
BPF will receive the aforementioned fees from the total advisory fee that the outside
manager (SEI) bills to the client. The outside manager’s (SEI’s) total advisory fees
will be governed by applicable firm brochures and other governing documents of
the outside manager.
All management fees paid to BPF are separate and unrelated to any fund expenses
directly assessed by SEI or non-SEI mutual funds or exchange traded funds.
Clients generally incur no trading costs, although platform costs or other fees may
apply. All fee details are provided in the client agreement and or other applicable
supplemental documentation in advance. Information pertaining to fund-generated
fees and expenses can be found in mutual fund and exchange traded fund
prospectuses.
Osaic Wealth, Inc (formerly Triad Advisors, LLC) - Envestnet Asset Management,
Inc. Platform
Fees charged by BPF for investment management services managed by Envestnet
under the Osaic platform are generally based on total value of the account at a rate
negotiated on a case by case basis depending on the level of services provided as
part of the investment management engagement, whether financial planning
services are included, etc. The maximum annual rate billed to the client by Osaic for
this option is 1.25% and will be governed by applicable firm brochures, other
governing documents, and the client’s Statement of Investment Selection (SIS).
BPF will receive a portion of the total advisory fee billed to the client by Osaic as
compensation for services BPF provides to clients pursuant to its agreement with
Osaic.
Fees are deducted directly from the account quarterly in advance based on the
ending balance of the prior billing quarter by the applicable custodian or platform
provider pursuant to the applicable governing documents and Statement of
Investment Selection (SIS). Partial periods are prorated. Upon termination, any
unearned fees billed in advance will be prorated and refunded.
All management fees paid to BPF are separate and unrelated to any fees or expenses
assessed by mutual funds or exchange traded funds or custodial fees such as margin
costs, deferred sales charges, transfer taxes, wire transfer and electronic fund
transfer fees, etc. Trade costs are covered by the Osaic platform fee which is paid by
BPF pursuant to BPF’s arrangement with Osaic. The platform fee paid by BPF is
included in the fee BPF charges to the client. All fee details are provided in the
client agreement and or other applicable documentation in advance. Information
pertaining to fund-generated fees and expenses can be found in mutual fund and
exchange traded fund prospectuses.
Brinker Capital, Inc. Platform
BPF acts as a solicitor for Brinker Capital, Inc., an unaffiliated third party adviser.
BPF receives an annual referral fee of .90% from Brinker Capital for recommending
clients to Brinker and managing the third party client relationship. Brinker
Capital’s annual advisory fee can be up to 1.25%.
Fees are deducted directly from the account quarterly in advance based on the
ending balance of the prior billing quarter by the applicable custodian or platform
provider pursuant to the applicable governing documents. Partial periods are
prorated and upon termination any unearned fees paid in advance will be prorated
and refunded.
All referral fees paid to BPF are separate and unrelated to any fees or expenses
assessed by Brinker Capital, mutual funds or exchange traded funds. Such fees are
governed by Brinker Capital firm brochures and other governing documents. BPF
may however receive a portion of its overall fee in the form of an asset-based sales
charge or service fee generated from investments held in a client’s account. Receipt
of this type of compensation creates a conflict of interest in that it creates an
incentive for BPF to refer clients to Brinker based on compensation received rather
than on client needs. Brinker and BPF address this conflict of interest by reducing

Item 7 – Types of Clients BPF provides services to individuals and institutional investors which may include businesses, retirement plans, foundations, endowments, etc. For its services, BPF does not require a minimum dollar value of assets for establishing or maintaining a client’s account, but the firm reserves the right to decline engagements for various reasons including account size. |
