Item 5 - Fees and Compensation
Advisor Managed Account Program Fees
The standard annual fee schedule is as follows:
Assets Under Management $10,000 to $1,000,000 2.00% (Total Account at this percentage)
Over $1,000,000 1.75% (Total Account at this percentage)
At the discretion of the Capital Synergy Partners, Inc., the fees in the above schedule may be negotiated. Lower fees
for comparable services may be available from other sources.
Fees are pro-rated and charged quarterly, generally in advance, based on assets under management at the end of the
previous quarter. On each of the dates, January 1st, April 1st, July 1st and October 1st, the valuation of the account
on the prior business day is used to determine the fee tier. The fee will then be calculated to determine the quarterly
billing amount. An account that is initiated in the middle of a quarter will be billed in advance and will be prorated
for only the time that the assets are under management. These fees are customarily debited by the Third-Party
custodian for the account.
Clients will be provided with a Quarterly Statement from the Third-Party custodian. By executing the Capital
Synergy Partners Advisory Agreements clients authorize the Third-Party custodian to deduct management fees from
their accounts and pay Capital Synergy Partners directly. The firm will generate and send to client a separate
itemized invoice that includes the amount of assets under management that the fee is based, the time-period
covered by the fee, and the formula used to calculate the fee.
Accounts can be terminated at anytime on written notice. Any fees paid in advance for that quarter will be pro-rated
for time under management. Any fee not earned by time under management will be returned to the client.
Third Party Money Manager Program Fees
CSP's fees for this program will not exceed 1.5% of the value of assets held in the account and are payable quarterly
on January 1st, April 1st, July 1st and October 1st of each calendar year.
At the discretion of the Capital Synergy Partners, Inc., the fees in the above schedule may be negotiated. Lower fees
for comparable services may be available from other sources. These fees may be paid to CSP as a referral fee paid by
the Third-Party Manager to CSP as a solicitor as documented in a client disclosed solicitors’ agreement between the
Third-Party Manager and CSP (acting as solicitor).
Additional Fees for Advisor Managed Accounts & Third-Party Money Manager Program Fees may apply. These fees
will be determined and fully disclosed to the client by the Third-Party Money Manager prior to execution of any
Third-Party Management contract with the client.
Financial Planning and Consulting Fees
Consulting services are generally provided on an hourly basis, at a rate up to $350.00 per hour, subject to
negotiation, or on a fixed fee basis from $350.00 not to exceed $2,500.00, or a percentage of the clients’ assets
reviewed as part of the financial planning or consulting services, as negotiated with the client. The firm will send an
invoice to the client when the fees are due and the client is expected to pay the fees within 30 days of receipt.
Conflicts of Interest
Any material conflict of interest relating to CSP or its representatives and employees that could be reasonably
expected to impair the rendering of unbiased or objective advice will be disclosed to the client prior to establishing
the relationship. Conflicts of interest may include, but are not limited to:
a. Any compensation arrangements connected with advisory services which are in addition to the advisory
fees. The firm does not permit compensation connected with advisory services which are in addition to
advisory fees;
b. Representatives of CSP may also be licensed in a broker dealer capacity with CSP and as insurance agents.
These other affiliations create a conflict of interest because they create incentives to recommend that the
client engage the representative in one or both of these capacities to generate additional revenues to the
representative. CSP representatives only make these recommendations when they are in the best interest of
the client. In addition, the client always has the right to decide whether to act on these types of
recommendations and, if the client decides to act on these recommendations the client always has the right
to engage the professional of their choosing to do so.
c. Participation of interest in client transactions. The firm prohibits representatives from participating in client
transactions.
Capital Synergy Partners, Inc. does not intend to issue any publications or reports on a subscription basis or for a fee
separate from those being charged for its advisory services.
Accounts in the Third-Party Money Manager Program may be custodied at either RBC Correspondent Services or
Charles Schwab & Co., Inc., depending on the platform and manager selected by the client.
For accounts custodied at Schwab, CSP will communicate the applicable advisory or solicitor fee to Schwab so that
Schwab may deduct the appropriate amount from the client’s account. |
