ITEM 5: FEES & COMPENSATION
Method of Compensation and Fee Schedule
FC determines its fee based on the scope and complexity of the needed planning services and
when investment management services are provided a fee is also charged based on the amount
of assets under FC's oversight. FC does not require minimum income levels or minimum asset
levels for its services. Fees are negotiable in some circumstances at FC's discretion.
RoadMap- An Initial Financial Plan – FC's fee for a RoadMap ranges from $1,200 to $12,500
depending on the scope and complexity of the client’s situation taking into account the amount
of the planning needed, and the nature and extent of the planning to be provided.
FC collects its fee in two installments. A partial payment equal to 1/3 of the planning fee is due
upon start of the RoadMap engagement with the remaining balance due upon the completion of
the process or delivery of your plan. Payment may be made by check or cashier’s draft from a
US-based bank, by ACH from a US-based bank, or by credit card.
We do not accept cash or similar forms of payment for our engagements. Similar
services may be available from other licensed investment adviser firms for lower fees.
RoadMap Plus
In a RoadMap Plus engagement, FC charges an investment management fee according to the
fee schedule below. Investment Management services are payable quarterly, in arrears, and are
charged as a percentage of assets under management based on the tiered schedule shown below
calculated using the average daily balance in the client’s account during the quarter (Average
Daily Balance x Annual Rate) x (Actual Number of Days in Calendar Quarter/365). A tiered
schedule means the applicable rate applies to all dollars that fall within that range.
FC charges an annual minimum fee of $5,000 for the RoadMap Plus engagement. Therefore,
clients with less than $500,000 in their account will pay more than the fee shown below. NOTE:
Lower fees for comparable services may be available from other sources. There may be clients
under a different fee schedule than that shown below.

The FC pricing is based on the average daily value of the account balance. Average daily value
includes the accrued interest from bonds, and we include the accrued interest in the assets under
management calculation. Accrued interest is the accrued amount between the previous coupon
payment and the closing date for the report (usually the end of the calendar quarter).
FC collects its fee directly from client’s accounts pursuant to the authorization given in the
advisory services agreement the client signs with FC.
Third-Party Advisor fees
When a Third Party Money Managers (TPMM) is used for your account the fees you pay them
are in addition to the fees paid to Fairchild Capital, LLC. (For an explanation of the other money
managers’ fee and services, please refer to their Form ADVs and other materials available.)
When a client decides to work with Asset Dedication, they will enter into a separate engagement
directly with Asset Dedication. The fee charged by Asset Dedication is based on the assets under
management with them according to their fee schedule, but will not exceed an annual fee of
0.30% of the total assets managed by Asset Dedication. This fee is charged in addition to FC’s
fee as outlined above so clients are encouraged to understand the total fee being charged by both
firms.
Additional Client Fees
The Advisory Fees discussed above do not include: brokerage commissions, margin interest or
account fees, transaction exchange, wire transfer or electronic fund fees, ticket charges and
taxes on brokerage accounts and securities transactions, or custodial charges, as a third party
will handle all brokerage (see Item 12 – Brokerage Practices) and custody of assets (see Item 15
– Custody). These expenses are charged separately and are in addition to FC’s Advisory Fee. FC
does not receive any portion of these commissions, fees, and costs.
Clients understand that assets invested in shares of mutual funds, other investment companies or
exchange-traded funds (“funds”) will be included in calculating the value of the account for
purposes of computing FC’s Advisor Fees and the same assets will also be subject to fund-level
expenses, as set forth in the prospectuses of those funds, paid by the funds but ultimately borne
by the investor. Such fees are commonly referred to as an expense ratio.
Termination of Services
Either party may terminate the agreement at any time, which will typically be in writing.
Should you verbally notify our firm of the termination and, if, in two business days following
this notification we have not received your notice in writing, we will make a written notice of
the termination in our records and send you our own termination notice as a substitute. If a
client terminates the services agreement, upon receipt of the termination notice, we will
promptly return any prepaid, unearned fees. In an ongoing engagement the unpaid prepaid fee
is calculated for the time remaining in the current billing period from the date of termination
and in an RoadMap engagement the prepaid fee to be returned is based on the work performed
prior to termination.
Upon termination of the agreement, FC will not possess any obligation to recommend or
take any action with regard to the securities, cash, or other investments in a client’s
account.

We may work on a limited basis with 401(k) plans, profit sharing plans, and/or defined benefit plans, generally when these plans are connected with an individual who is a FC client.
