Item 5: Fees and Compensation

We base our fees on hourly charges, fixed fees, and a percentage of assets under management,
which are described below.

Compensation – Financial Planning
Financial Planning fees will be charged in one of two ways:

   •   As a fixed fee, typically ranging from $2,500 to $7,500, depending on the nature and
       complexity of each client’s circumstances, or
   •   On an hourly basis of $350 per hour.

If we are managing a client’s assets, we will not charge a separate or additional fee for financial
planning services. However, the Firm may at its sole discretion charge a fee to prospective
Investment Management clients or clients without assets under management for financial
planning services.

An estimate of the fee will be provided to the client prior to engaging in these services and
payment is due upon completion and presentation of the plan. If the client engages us for
Investment Management services, we may, in our sole discretion, credit some or all the fees
paid against future Investment Management fees.

Compensation – Investment Management Services
Investment Management clients are charged a fee as follows:

Fees are calculated quarterly in arrears based on the market value of the assets under
management (including cash and adding back any margin balances) on the last day of each
calendar quarter as valued by the custodian. We may negotiate to exclude cash balances from
the fee calculation for client accounts based upon criteria such as pre-existing client
relationships, anticipated future additional assets, dollar amount of assets to be managed and
client preferences.

As an alternative, we may apply a minimum fee to the table above or charge a flat fee both of
which can range from $5,000 to $15,000/year for the average client but may be higher or lower
based on scope, time required, and complexity of the services rendered.

This is a tiered (non-blended) fee schedule. The applicable fee rate is determined based on total
assets under management and is applied to the entire account value, rather than applying
different rates to portions of the account

For example (based on quarterly billing period):
Client with $750,000 under management would pay $1,125 on a quarterly basis.

Compensation – Retirement Plan Services
Retirement Plan Service fees to employer plan sponsors will be charged 0.35%. Our fees are
charged on a quarterly basis in arrears based on the market value of the assets under
management on the last day of each calendar quarter as valued by the Third Party
Administrator or Recordkeeper. As an alternative, we may charge a minimum fee or a flat fee
which can range from $5,000 to $15,000/year for the average client/plan but may be higher or
lower based on scope, time required, and complexity of the services rendered. Employer plan
sponsors will sign multi-party agreements with the Firm, the Third-party Administrator,
Recordkeeper and the Custodian.

Compensation – Reinsurance Consulting Services
Standalone reinsurance consulting fees will be determined based on the scope and complexity
of the services to be provided and the overall relationship with the Firm. An estimate of the fee
will be provided to the client prior to engaging in these services and payment is due upon the
completion of services being rendered. Fees generally range between $5,000-$10,000 or
$500/hour depending on the scope, time required, and complexity of the services rendered. If
the client engages us for Investment Management services, we may, in our sole discretion,
credit some or all the fees paid against future Investment Management fees.

Calculation and Payment
The specific manner in which we charge fees is established in a client’s written agreement with
us. Clients may elect to be invoiced directly for fees or to authorize us to directly debit fees
from client accounts.

In no case will more than $1,200 be collected from the client more than 6 months in advance.

Other Fees
There are no additional types of fees or expenses that our clients pay in connection with the
delivery of advisory services.

Agreement Terms
Either party may terminate an agreement at any time by notifying the other in writing. If the

client made an advance payment, we would refund any unearned portion of the advance
payment.

Upon termination of any account, any prepaid, unearned fees will be promptly refunded, and
any earned, unpaid fees will be due and payable.

Cash Balances
Some of your assets may be held as cash and remain uninvested. Holding a portion of your
assets in cash and cash alternatives, i.e., money market fund shares, may be based on your
desire to have an allocation to cash as an asset class, to support a phased market entrance
strategy, to facilitate transaction execution, to have available funds for withdrawal needs or to
pay fees or to provide for asset protection during periods of volatile market conditions. Your
cash and cash equivalents will be subject to our investment advisory fees unless otherwise
agreed upon. You may experience negative performance on the cash portion of your portfolio if
the investment advisory fees charged are higher than the returns you receive from your cash.

Types of Clients
We provide services to individuals, high net worth individuals, pension and profit sharing plans
and automotive reinsurance companies.

Account Minimums
We require a minimum account under certain circumstances of $500,000 for investment
advisory clients, although this may be negotiable. We may group certain related client accounts
for the purposes of achieving the minimum account size.
