Item 5 Fees and Compensation
There are clients who work with us who receive services under engagements that include differing fees
and services that are no longer on offer by us.
Portfolio Management Services
Our fee for portfolio management services is based on a percentage of the assets in your account and
is set forth in the following annual fee schedule:

Our annual portfolio management fee is billed and payable, quarterly in advance, based upon the closing
market value of the assets under our management on the last day of the previous billing cycle. We will
charge you in accordance with the above tiered fee schedule and corresponding breakpoints subject to
our minimum annual fee of $5000, or $1250 per quarter.
If the portfolio management agreement is executed at any time other than the first day of the calendar
quarter, our fees will apply on a pro rata basis, which means that the advisory fee is payable in
proportion to the number of days in the quarter for which you are a client. Our advisory fee is
negotiable, depending on individual client circumstances.
At our discretion, we may combine the account values of family members living in the same household
to determine the applicable advisory fee. For example, we may combine account values for you and
your minor children, joint accounts with your spouse, and other types of related accounts. Combining
account values may increase the asset total, which may result in you paying a reduced advisory fee
based on the breakpoints available in our fee schedule stated above.
We will deduct our fee directly from your account through the qualified custodian holding your funds
and securities. We will deduct our advisory fee only when you have given our firm written authorization
permitting the fees to be paid directly from your account. Further, the qualified custodian will deliver an
account statement to you at least quarterly. These account statements will show all disbursements
from your account. You should review all statements for accuracy and notify us if you have questions
about any transactions or fees reflected in your custodian statement(s).
You may terminate the portfolio management agreement upon 30 days’ written notice. You will incur a
pro rata charge for services rendered prior to the termination of the portfolio management agreement,
which means you will incur advisory fees only in proportion to the number of days in the quarter for
which you are a client. If you have pre-paid advisory fees that we have not yet earned, you will receive
a prorated refund of those fees.
Financial Planning Services
Our Financial Planning services are included with our portfolio management fee when you are receiving
our ongoing investment management services. We do not charge a separate fee for this service.
Services provided under a stand-alone financial planning engagement are provided on a flat-fee basis
based on the scope, complexity, and extent of the services needed by you. If the scope of work
changes after commencement, and requires more time than originally estimated, additional time will be
billed at $250 per hour subject to your consent before the additional work is performed. One half of the
fee is due at the beginning of the engagement and the remaining upon presentation of the plan or our
recommendations. Clark Wealth Partners accepts payment by check.
Access to Estate Planning Assistance
Access to the Platform as described in Item 4 above is provided on a flat-fee basis, and the fee is due at
the time clients enter into the agreement to receive access. The fee for access to the Platform is $1000
and is payable by check. The fee does not include any other professional services, and it is separate
from, and in addition to, the fee for other services that clients receive from us. The agreement for
access terminates 60 (sixty) days after we print and notarize the documents created by the client on the
Platform. In the event that a client terminates the agreement prior to the time outlined above, we will
provide the client a prorated refund of any unearned, prepaid fee based on our determination of the
access allowed as of the date of termination.
Additional Fees and Expenses
As part of our investment advisory services to you, we may invest, or recommend that you invest, in
mutual funds and exchange-traded funds. The fees that you pay to our firm for investment advisory
services are separate and distinct from the fees and expenses charged by mutual funds or exchange
traded funds (described in each fund's prospectus) to their shareholders. These fees will generally
include a management fee and other fund expenses. You will also incur transaction charges and/or
brokerage fees when purchasing or selling securities. These charges and fees are typically imposed by
the broker-dealer or custodian through whom your account transactions are executed. We do not share
in any portion of the brokerage fees/transaction charges imposed by the broker-dealer or custodian. To
fully understand the total cost you will incur, you should review all the fees charged by mutual funds,
exchange-traded funds, our firm, and others. For information on our brokerage practices, refer to the
Brokerage Practices section of this brochure.

Item 7 Types of Clients We offer investment advisory services to individuals including high net worth individuals, pension and profit-sharing plans (but not the plan participants), charitable organizations, and corporations or other businesses. In general, we do not require a minimum dollar amount to open and maintain an advisory account; however, we have the right to terminate your account if it falls below a minimum size which, in our sole opinion, is too small to manage effectively. Although we do not have a minimum account size to open or maintain an advisory account, we do have a minimum fee associated with our Portfolio Management Service as noted in Item 5 above. We may also combine account values for you and your minor children, joint accounts with your spouse, and other types of related accounts to meet the stated minimum. |
