Item 5 Fees and Compensation

                               INVESTMENT ADVISORY SERVICES
   The client can determine to engage the Registrant to provide discretionary and/or non-
   discretionary investment advisory services on a fee basis. To the extent specifically
   requested by a client, the Registrant may also determine to provide financial planning
   and/or consulting services (including investment and non-investment related matters,
   including estate planning, insurance planning, etc.). Registrant’s fees are negotiable, but
   generally range from $5,000 to $25,000 on an annual fixed fee basis. Fees shall vary
   depending upon various objective and subjective factors, including but not limited to: the
   amount of assets to be managed; account composition; the scope and complexity of the
   engagement; the anticipated number of meetings and servicing needs; related accounts for
   family members of existing clients; future earning capacity; anticipated future additional
   assets; the professional(s) rendering the service(s); and negotiations with the client. As a
   result of these factors, similarly-situated clients could pay different fees, and the services to
   be provided by the Registrant to any particular client could be available from other advisers
   at lower fees. Please Note: Although the preceding represents the typical range of fees to
   be paid by a client, exceptional circumstances could result in annual fees that exceed the
   range provided above.

   RETIREMENT PLAN CONSULTING SERVICES

   Registrant has contracted with FPAS for services including trade processing, collection of
   management fees, record maintenance, report preparation, marketing assistance, and
   research. Registrant pays a fee for FPAS’s services based on management fees paid to
   Registrant by clients that use FPAS. The fee paid by Registrant to FPAS varies based on
   total client assets participating in FPAS services through Registrant. These fees are not
   charged separately to clients.

   The FPAS 401(k) standard fee schedule is as follows:

    Registrant and FPAS share this fee according to percentage negotiated between Registrant
    and FPAS.

B. ​ Clients may elect to have the Registrant’s advisory fees deducted from their custodial
     account. Both the Registrant's Investment Advisory, Financial Planning, and Consulting
     Agreement and the custodial/ clearing agreement may authorize the custodian to debit the
     account for the amount of the Registrant's investment advisory fee and to directly remit
     that management fee to the Registrant in compliance with regulatory procedures. In the
     limited event that the Registrant bills the client directly, payment is due upon receipt of the
     Registrant’s invoice.

C. ​ As discussed below, unless the client directs otherwise or an individual client’s
     circumstances require, the Registrant shall generally recommend that Charles Schwab and
     Co., Inc. (“Schwab”) serves as the broker- dealer/custodian for client investment
     management assets. Broker-dealers such as Schwab charge brokerage commissions and/or
     transaction fees for effecting certain securities transactions in accordance with their
     respective brokerage commission and transaction fee schedules. The types of securities for
     which transaction fees, commissions, and/or other type fees (as well as the amount of those
     fees) shall differ depending upon the broker-dealer/custodian (while certain custodians,
     including Schwab, do not currently charge fees on individual equity transactions, others
     do). Please Note: there can be no assurance that Schwab will not change their transaction
     fee pricing in the future. Please Also Note: Schwab may also assess fees to clients who
     elect to receive trade confirmations and account statements by regular mail rather than
     electronically. In addition to Registrant’s investment management fee, brokerage
     commissions and/or transaction fees, clients will also incur, relative to all mutual fund and
     exchange traded fund purchases, charges imposed at the fund level (e.g. management fees
     and other fund expenses).

D. ​ Registrant's annual investment advisory fee shall be prorated and paid annually, semi-
     annually, or quarterly in arrears, as dictated by the terms of the client’s Investment
     Advisory Agreement. The Registrant minimum annual fixed fee for investment advisory
     services is $5,000. Registrant’s minimum account size for retirement plan consulting
     services is $1,000,000, which can be negotiated at the firm’s discretion. The Registrant, in
     its sole discretion, may waive or reduce these minimum requirements based upon certain
     criteria (i.e. anticipated future earning capacity, related accounts, account composition,
     negotiations with client, etc.).

    The Investment Advisory, Financial Planning, and Consulting Agreement between the
    Registrant and the client will continue in effect until terminated by either party by written
    notice in accordance with the terms of the Investment Advisory, Financial Planning, and
    Consulting Agreement. Upon termination, a pro-rated portion of the earned but unpaid
    advisory fee shall be due.

E. Certain Firm employees are also licensed as insurance agents. These individuals will earn
    commission-based compensation for selling insurance products, including insurance

Item 7 ​Types of Clients
    The Registrant’s clients shall generally include individuals, business entities, pension and
    profit sharing plans, trusts, estates and charitable organizations. The Registrant’s minimum
    annual fixed fee for investment advisory services is $5,000. Registrant’s minimum account
    size for retirement plan consulting services is $1,000,000. The Registrant, in its sole
    discretion, may waive or reduce these minimum requirements based upon certain criteria
    (i.e. anticipated future earning capacity, related accounts, account composition, legacy fee
    arrangements, negotiations with client, etc.). Please Note: Similar advisory services may
    be available from other investment advisers for similar or lower fees. ANY QUESTIONS:
    Registrant’s Chief Compliance Officer, David Fesmire, remains available to address any
    questions that a client may have regarding its advisory fee schedule.
