Item 5 – Fees and Compensation
The following paragraphs detail the fee structure and compensation methodology for services provided by the
Advisor. Each Client shall sign one or more agreements that detail the responsibilities of StratFI and the Client.
A. Fees for Advisory Services
Investment Management Services
Investment advisory fees are paid monthly, at the end of each month, pursuant to the terms of the investment
advisory agreement. Investment advisory fees are based on the market value of assets under management at the
end of each month and range from 0.75% to 1.00% based on the following schedule:

The investment advisory fee in the first month of service is prorated from the inception date of the account[s] to the
end of the first month. Fees may be negotiable at the sole discretion of the Advisor. The Client’s fees will take into
consideration the aggregate assets under management with the Advisor. All securities held in accounts managed by
StratFI will be independently valued by the Custodian. The Advisor will conduct periodic reviews of the Custodian’s
valuation to ensure accurate billing.
The Advisor’s fee is exclusive of, and in addition to any applicable securities transaction and custody fees, and other
related costs and expenses described in Item 5.C below, which may be incurred by the Client. However, the Advisor
shall not receive any portion of these fees, costs, and expenses.
Pursuant to California Code of Regulations Section 260.238(j), the Advisor discloses that the Client may be able to
obtain similar services from other services providers for a lower fee.
Consulting Services
StratFI offers consulting services on an hourly basis at a rate of $400 per hour, which may be negotiable depending
on the nature and complexity of each Client’s circumstances. An estimate for total hours and costs will be
determined prior to engaging for these services.
Signal Provider Services
StratFI generally receives an asset-based fee calculated as a percentage of the Sub-Client’s assets invested and
allocated towards StratFI’s portfolio management strategies by Subscribers (the “Signal Provider Fee”). The Signal
Provider Fee generally ranges up to 0.25% of the total assets the Subscriber has allocated towards StratFI’s signals.
In certain instances, StratFI will receive a fee based upon the performance of the Sub-Client’s assets invested and
allocated towards StratFI’s portfolio management strategies, pursuant to the agreement between the Subscriber and
the Advisor.
Fees may be negotiable at the discretion of the Advisor. The Signal Provider Fee will be directly paid by the
Subscriber. StratFI will prorate the Signal Provider Fee for periods less than a full quarter. Prepaid but unearned
Signal Provider Fees are refunded on a prorated basis.
B. Fee Billing
Investment Management Services
Investment advisory fees will be calculated by the Advisor and deducted from the Client’s account[s] at the
Custodian. The Advisor shall send an invoice to the Custodian indicating the amount of the fees to be deducted from
the Client’s account[s] at the respective month-end date. The amount due is calculated by applying the monthly rate
(annual rate divided by 12) to the total assets under management with StratFI at the end of each month. Clients will
be provided with a statement, at least quarterly, from the Custodian reflecting deduction of the investment advisory
fee. It is the responsibility of the Client to verify the accuracy of these fees as listed on the custodian’s brokerage
statement as the Custodian does not assume this responsibility. Clients provide written authorization permitting
advisory fees to be deducted by StratFI directly from their accounts held by the Custodian as part of the investment
advisory agreement and separate account forms provided by the Custodian.
Consulting Services
Consulting fees are invoiced by the Advisor and due upon completion of the engagement deliverable[s].
Signal Provider Services
Subscription fees are payable in arrears, on a quarterly basis, based on the market values of the Sub-Client assets
managed utilizing the service. Subscription fees are based on the market value of sub-advised assets or the fees
received by the Subscriber as of the close of business on the last trading day of the quarter. Subscription fees shall
be paid within thirty (30) days of the applicable billing period.
C. Other Fees and Expenses
Clients may incur certain fees or expenses imposed by third parties in connection with investments made on behalf
of the Client’s account[s]. The Client is responsible for all custody and securities execution fees charged by the
Custodian, if applicable. The Advisor's recommended Custodian does not charge securities transaction fees for ETF
