Item 5 Fees and Compensation
Portfolio Management Services
For our portfolio management services, we charge a fee based on assets under management that
varies depending on the type of portfolio management service.
AssetMark Wrap-Fee Program
For assets managed through the AssetMark Platform, you will pay a single wrap fee comprised of our
investment advisory Fees, a platform fee payable to AssetMark (as described below), and fees
payable to sub-advisors utilized through the AssetMark Platform, if any.
If no sub-advisors are utilized through the AssetMark Platform, you will pay us the following Fees for
assets managed on the AssetMark Platform:

$500,001 – $1,000,000 0.65%
$1,000,001 – $1,500,000 0.45%
$1,500,001 – $5,000,000 0.40%
Over $5,000,000 0.35% (Negotiable)
In addition, all accounts managed by us through the AssetMark Platform will also incur a base platform
fee ("Platform Fee") of 0.25% of assets under management on the AssetMark Platform which includes
certain brokerage costs in connection with services rendered on the AssetMark Platform. You are
strongly encouraged to read the AssetMark Wrap-Fee Program Brochure to understand all fees and
expenses covered in the Platform Fee.
Additionally, if any portion of your assets are managed by Sub-advisor(s) on the AssetMark Platform,
you will also pay management fees to such sub-advisors, which management fees will not exceed
1.00% per year. We will adjust downward our fees shown in the table above dollar for dollar when sub-
advisors are utilized such that the wrap fee will equal no more than 1.55% per year.
Fees for assets managed through the AssetMark Platform are payable quarterly in advance based on
the market value of your assets managed on the AssetMark Platform at the end of the previous
quarter. Upon termination of the Account, a portion of the prepaid Advisory Fees will be refunded,
calculated by multiplying the daily prepaid Account Fee during the final quarter by the number of days
remaining in that quarter.
If an account is opened on the AssetMark Platform on a day other than the beginning of a billing
period, you will be billed monthly based on actual days the funds are invested, until the next quarterly
billing period has begun.
Our portion of the overall investment advisory fee will be calculated and deducted from Client's account
by AssetMark and paid directly to us by AssetMark.
Fees for Assets Managed Outside of the AssetMark Platform
For assets managed outside of the AssetMark Platform (including, without limitation, any assets
managed through annuity accounts maintained through Jackson and assets managed in accounts at
mutual funds held directly by mutual fund sponsors), you will pay us a fee up to 1.00% of assets under
management per year, payable quarterly in arrears based on the accounts' average daily balance for
such billing period.
With respect to mutual funds held specifically at American Funds Service Company ("AFS"), the
cumulative asset value for purposes of fee calculation is determined based on all account types and
share classes that are held by AFS. You will incur a $10 set-up fee upon opening the account plus a
$10 custodian fee billed annually with respect to assets maintained at mutual funds held by AFS.
With respect to assets managed through annuity products offered by Jackson, you will incur fees
charged by Jackson, including, without limitation, "Sub-account fees", and in certain cases, product
expense fees, and/or annual maintenance fees. Client must carefully review the Product Prospectus
and Disclosure Information provided by Jackson when you purchase an annuity contract, in order to
obtain the exact fees related to the product(s) you participate in.
Financial Planning Services
Stand-alone financial planning services can be performed for a fixed fee or an hourly fee. We offer the
following fixed-fee packages for financial planning services:
