Compensation for Our Advisory Services

Asset Management:

The maximum annual fee charged for this service will not exceed 1.00%. Fees to be assessed will be
outlined in the advisory agreement to be signed by the Client. Annualized fees are billed on a pro-
rata basis quarterly in advance based on the value of the account(s) on the last day of the previous
quarter. Fees are negotiable and will be deducted from client account(s). Our firm bills on cash unless
otherwise indicated in writing. Adjustments will be made for deposits and withdrawals during the
quarter. Our firm does not offer direct invoicing. As part of this process, Clients understand the
following:

The maximum annual fee charged to clients utilizing Third Party Managers will not exceed the
maximum fee published above for this service. Our firm will debit fees for this service as disclosed in
the executed advisory agreement between the client and our firm. This fee shall be in addition to any
fees assessed by the chosen third-party money manager. The third-party money managers we
recommend will not directly charge you a higher fee than they would have charged without us
introducing you to them. Third party money managers establish and maintain their own separate
billing processes over which we have no control. They will directly bill you and describe how this
works in their separate written disclosure documents.

    a) The client’s independent custodian sends statements at least quarterly showing the market
       values for each security included in the Assets and all account disbursements, including the
       amount of the advisory fees paid to our firm;
    b) Clients will provide authorization permitting our firm to be directly paid by these terms. Our
       firm will send an invoice directly to the custodian; and
    c) If our firm sends a copy of our invoice to the client, a legend urging the comparison of
       information provided in our statement with those from the qualified custodian will be
       included.

outlined in the advisory agreement to be signed by the Client. Annualized fees are billed on a pro-

quarter. Fees are negotiable and will be deducted from client account(s). Our firm bills on cash unless
otherwise indicated in writing. Adjustments will be made for deposits and withdrawals during the

Financial Planning & Consulting:

Our firm charges on a flat fee basis for financial planning and consulting services. The total estimated
fee, as well as the ultimate fee charged, is based on the scope and complexity of our engagement with
the client. Flat fees range from $500 to $10,000. The fee-paying arrangements will be determined on
a case-by-case basis and will be detailed in the signed consulting agreement although we typically
collect payment in full upon delivery of the plan or consultation. Our firm will not require a retainer
exceeding $1,200 when services cannot be rendered within 6 months.

Institutional Intelligent PortfoliosTM

Clients will be charged an ongoing annual fee applied quarterly in advance based on the value of the
assets in the client’s account on the last day of the month prior to the current billing cycle. Our fee for
Institutional Intelligent PortfoliosTM as a percentage of assets under management will not exceed
1.00%. Fees to be assessed will be outlined in the advisory agreement to be signed by the client. Our
firm bills on cash balances unless otherwise agreed in writing. Our fees vary and are negotiable. The
amount clients pay will depend, for example, on the complexity of each client situation, the services
clients receive and the amount of assets in the client’s account. Our firm’s fees will be automatically
deducted from client’s advisory account. Our firm will assess fees on a pro-rata basis (based on the
number of days) for accounts that transfer intra-quarter, in other circumstances, we will waive our

Item 7: Types of Clients & Account Requirements

Our firm has the following types of clients:
   • Individuals and High Net Worth Individuals;
   • Trusts, Estates or Charitable Organizations;
   • Pension and Profit Sharing Plans;
   • Corporations, Limited Liability Companies and/or Other Business Types

Our firm does not impose requirements for opening and maintaining accounts or otherwise engaging
us.

Institutional Intelligent PortfoliosTM: Clients eligible to enroll in the Program include individuals,
IRAs and revocable living trusts. Clients that are organizations (such as corporations and
partnerships) or government entities, and clients that are subject to the Employee Retirement
Income Security Act of 1974, are not eligible for the Program. The minimum investment required to
open an account in the Program is $5,000. The Program Disclosure Brochure describes related
minimum required account balances for maintenance of the account, automatic rebalancing, and tax-
loss harvesting.
