Item 5 Fees and Compensation
Portfolio Management Services
Our tiered/blended fee for portfolio management services is based on a percentage of the assets in your
account. Our typical client fee is set forth in the following fee schedule:

Our advisory fee is negotiable. In addition to the tiered/blended fee schedule above, if negotiated, we will
offer a flat rate fee schedule based on a percentage of assets in your account. The maximum flat fee
percentage is 1.5% and your negotiated fee is set forth in the portfolio management agreement.
Portfolio Management Services
Our annual portfolio management fee is billed and payable quarterly in advance, computed as one-
quarter of the annual fee based on the value of the account* (including cash and money market
positions) on the last business day of the previous calendar quarter. Assets in each of your account(s)
are included in the fee assessment unless specifically identified in writing for exclusion.
If the portfolio management agreement is executed at any time other than the first day of a calendar
quarter, our fees will apply on a pro rata basis, which means that the advisory fee is payable in
proportion to the number of days in the quarter for which you are a client.
At our discretion, we may combine the account values of family members living in the same household to
determine the applicable advisory fee. For example, we may combine account values for you and your
minor children, joint accounts with your spouse, and other types of related accounts. Combining account
values will increase the asset total, which may result in your paying a reduced advisory fee based on the
available breakpoints in our fee schedule stated above.
We will deduct our fee directly from your account through the qualified custodian holding your funds and
securities. We will deduct our advisory fee only when you have given our firm written authorization
permitting the fees to be paid directly from your account. Further, the qualified custodian will deliver an
account statement to you at least quarterly. These account statements will show all disbursements from
your account. You should review all statements for accuracy.
*Account values in the Commonwealth Financial Practice 360 reporting system will be used for Premier
quarterly fee calculations for advisory accounts custodied at National Financial Services (NFS). Although
account holdings and asset valuations should generally match, month-end market values reflected in
Commonwealth's Practice 360 reporting system sometimes differ from those provided by NFS on their
month-end statements. The three most common reasons why these values may differ are (i) differences
in the manner in which accrued interest is calculated, (ii) differences in the date upon which "as of"
dividends and capital gains are reported, and (iii) differences in whether settlement date valuations or
trade date valuations are used. If you have any questions or believe there are material discrepancies
between your NFS custodial statement and Commonwealth's Practice 360 reporting system, please
contact Premier at 615-777-2125. The Commonwealth Practice 360 report valuations are available
online via your Investor 360 account or you may request a copy from your Premier Advisory
Representative.
To the extent that you hold positions in your account for which pricing data is not readily available,
Commonwealth receives quarter-end values from alternative investment issuers or other service
providers which are used when calculating billable AUM for our clients. Neither Premier nor
Commonwealth engages in an independent valuation of your account assets and relies on valuations
provided by the investment issuers or other service providers. Premier (via Commonwealth and further
via the account custodian) will provide periodic account statements which include the market value of the
alternative investment based on information received from the investment issuer or other service
provider. In providing these account statements, or any other valuation information to you, (i) Premier
relies on the valuation information provided by the manager of the alternative investment or other service
provider, (ii) the valuation information used to determine the billing fee is based on estimates that may be
outdated as of the dates of the account statements, (iii) the products final valuations may be higher or
lower than the values reflected in the periodic account statements and (iv) while Commonwealth will
adjust material estimated fee billings on a best efforts basis on Premier’s behalf, neither Premier nor
Commonwealth is under no obligation to provide notice or compensation to you for differences in
estimated alternative investment valuations.
Clients who elect to open a margin account acknowledge and agree that margin may be exercised
against their account for purposes including, but not limited to, covering debits, management fees, and/or
other billing and administrative costs. Management fees on margin accounts will be assessed on the
equity (e.g., ownership) portion of the account and not on the account’s total market value.
You may terminate the portfolio management agreement, without penalty, upon written notice within five
(5) business days after entering into the advisory agreement with us. You will, however, be responsible

Item 7 Types of Clients We generally offer investment advisory services to individuals (other than high net worth individuals), high net worth individuals and charitable organizations, but may engage any type of client at the firm’s sole discretion. The minimum household investment required under our Portfolio Management programs is generally $500,000. Household values below this minimum may be accepted on an individual basis at our discretion. Such circumstances may include, but not be limited to, those situations where additional assets will soon be deposited, anticipated future earning capacity, related accounts, account composition, pre-existing client, account retention, pro bono activities, etc. We may, at our discretion, also combine account values for you and your minor children, joint accounts with your spouse, and other types of related accounts to meet the stated minimum. |
