Item 5. Fees and Compensation
Management Fee and Performance Allocation
We receive from Solasglas a monthly management fee (the “Management Fee”) at an
annual rate of 1.5% of the value of the investment portfolio (as defined in the Limited
Partnership Agreement) (the “Investment Portfolio”) attributed to each Greenlight Re
subsidiary, valued and payable as of the beginning of each month (0.125% per month). We may
waive or reduce the Management Fee.
Our affiliate, DME Advisors II, LLC (“DME II”), receives from Solasglas a
performance-based profit allocation (the “Performance Allocation”) on the positive performance
change of each Greenlight Re subsidiary’s investment equal to 20% of net profits calculated per
annum, subject to a loss carryforward provision. That provision allows DME II to earn a reduced
Performance Allocation of 10% on profits in any year subsequent to the year in which the
investment of a Greenlight Re subsidiary incurs a loss, until all the losses are recouped and an
additional amount equal to 150% of the loss is earned. DME II is not entitled to a Performance
Allocation in a year in which the Investment Portfolio incurs a loss. However, DME II is entitled
to earn the reduced Performance Allocation in subsequent years to the extent we generate profits.
We may waive or reduce the Performance Allocation.
