Item 5: Fees and Compensation
Method of Compensation and Fee Schedule
  ASSET MANAGEMENT
  EDP offers discretionary direct asset management services to advisory clients. Effective
  January 1, 2019, all fees are billed monthly in arrears. All accounts opened prior to January
  1, 2019 will remain on the previous billing schedule of quarterly fees in arrears. Fees for
  these services will be based on a percentage of Assets Under Management as follows:

   This is a blended fee schedule.
   The annual fee is negotiable. Accounts within the same household may be combined for a
   reduced fee. Fees are billed monthly in arrears based on the amount of assets managed as of
   the close of business on the last business day of each month. Monthly advisory fees
   deducted from the clients' account by the custodian will be reflected in a provided fee
   invoice as fees are withdrawn. Lower fees for comparable services may be available from
   other sources. Clients may terminate their account within five (5) business days of signing
   the Investment Advisory Agreement for a full refund. Clients may terminate advisory
   services with thirty (30) days written notice. EDP will be entitled to a pro rata fee for the
   days service was provided in their final billing period. Client shall be given thirty (30) days
   prior written notice of any increase in fees. This fee schedule will only apply to new
   advisory clients. Old clients will be grandfathered in with the retired fee schedule.
   For Clients wishing to engage EDP for option writing or covered calls, a maximum of 1% will
   be added to above fee schedule. Accounts within the same household may be combined
   for a reduced fee. Fees are billed monthly in arrears based on the amount of assets
   managed as of the close of business on the last business day of each month. Monthly
   advisory fees deducted from the account by the custodian will be reflected in a provided
   fee invoice as fees are withdrawn. Clients may terminate their account within five (5)

   terminate advisory services with thirty (30) days written notice. EDP will be entitled to a

   SELECTION OF OTHER ADVISERS’ FEES
   Although EDP does not have any arrangements with third-party investment advisers, EDP
   may direct clients to third-party investment advisers. EDP will be compensated via a fee
   share from the advisers to which it directs those clients. The fees shared are negotiable and
   will not exceed any limit imposed by any regulatory agency. The notice of termination
   requirement and payment of fees for third-party investment advisers will depend on the
   specific third-party adviser selected.

Client Payment of Fees
   For clients after January 1, 2019, investment management fees are billed monthly, in
   arrears, meaning that we invoice the client after the month has ended. Payment in full is
   expected upon invoice presentation. Fees are usually deducted from a designated client
   account to facilitate billing. The client must consent in advance to direct debiting of their

   investment account.
   Fees are withdrawn from client accounts for investment management fees.
   For accounts opened prior to January 1, 2019, fees will be billed quarterly in arrears.

   designated client account to facilitate billing. The client must consent in advance to direct
   debiting of their investment account.
Additional Client Fees Charged
  Custodians may charge transaction fees on purchases or sales of certain mutual funds,
  equities, and exchange-traded funds. These charges may include mutual fund transactions
  fees, postage and handling, and miscellaneous fees (fee levied to recover costs associated
  with fees assessed by self-regulatory organizations). The selection of the security is more
  important than the nominal fee that the custodian charges to buy or sell the security.
  EDP, in its sole discretion, may waive its minimum fee and/or charge a lesser investment
  advisory fee based upon certain criteria (e.g., historical relationship, type of assets,
  anticipated future earning capacity, anticipated future additional assets, dollar amounts of
  assets to be managed, related accounts, account composition, negotiations with clients,
  etc.). For more details on the brokerage practices, see Item 12 of this brochure.

Prepayment of Client Fees
   EDP does not require prepayment of fees of more than
   $1200 per client and six months or more in advance.

External Compensation for the Sale of Securities to Clients
   EDP does not receive any external compensation for the sale of securities to clients, nor do
   any of the investment advisor representatives of EDP.

Description
  EDP generally provides investment advice to individuals, pension and profit-sharing
  plans, trusts, estates, or charitable organizations, corporations or business entities.
  Client relationships vary in scope and length of service.
Account Minimums
   EDP does not require a minimum to open an account. Some Third-Party Money Managers

   utilized by EDP might have minimums to open accounts on their platform. Although EDP
   does not require a minimum to open an account, EDP does require that the prospective
   client verify their identity and source of funds before account opening. The client is
   expected to fund the account such that standard custodial platform fees & EDP
   management fees may be paid.
