Item 5: Fees & Compensation

Compensation for Our Advisory Services

Comprehensive Portfolio Management:

Our firm will not charge in excess of 1.00% for our services. Our firm bills on cash unless indicated
otherwise in writing. Our firm’s fees are billed on a pro-rata annualized basis quarterly in arrears
based on the value of your account on the last day of the quarter. Adjustments will be made for
deposits and withdrawals during the quarter.

Our firm’s fees are billed on a pro-rata annualized basis quarterly in arrears based on the value of
your account on the last day of the quarter. Fees will generally be automatically deducted from your
managed account. Our firm does not offer direct invoicing. As part of this process, you understand
and acknowledge the following:
       a) Your independent custodian sends statements at least quarterly to you showing the
            market values for each security included in the Assets and all disbursements in your
            account including the amount of the advisory fees paid to us;
       b) You provide authorization permitting us to be directly paid by these terms;
       c) We maintain both hard and soft copies of our invoice and send them electronically to
            clients prior to fees being deducted from clients’ accounts;
       d) Our invoice includes a legend that urges the client to compare information provided and
            subsequent statements sent to the client for whom the adviser opens custodial accounts
            with the qualified custodian.

Other Types of Fees & Expenses

Clients will incur transaction charges for trades executed in their accounts. These transaction fees
are separate from our fees and will be disclosed by the firm that the trades are executed through.
Fidelity Brokerage Services (“Fidelity”) eliminated transaction fees for U.S. listed equities and
exchange traded funds for clients who opt into electronic delivery of statements or maintain at least
$1 million in assets at Fidelity. Clients who do not meet either criteria will be subject to transaction
fees charged by Fidelity for U.S. listed equities and exchange traded funds.

Also, clients will pay the following separately incurred expenses, which we do not receive any part
of: charges imposed directly by a mutual fund, index fund, or exchange traded fund which shall be
disclosed in the fund’s prospectus (i.e., fund management fees and other fund expenses).

Termination & Refunds

Either party may terminate the advisory agreement signed with our firm for Comprehensive
Portfolio Management service in writing at any time. Upon notice of termination pro-rata advisory
fees for services rendered to the point of termination will be charged. If advisory fees cannot be
deducted, our firm will send an invoice for due advisory fees to the client.

Commissionable Securities Sales

Our firm and representatives do not sell securities for a commission in advisory accounts.

We have the following types of clients:
   • Individuals and High Net Worth Individuals;
   • Trusts, Estates or Charitable Organizations
   • Corporations and/or Other Business Types
   • Endowment and Foundations

Our requirements for opening and maintaining accounts or otherwise engaging us:
   • Our firm requires a minimum account balance of $1,000,000 for our Comprehensive Portfolio
       Management service. The minimum account balance may be waived at our firm’s discretion.
