Item 5 Fees and Compensation Description Integral bases its service fees on a fixed fee or hourly fee arrangement. All fees are agreed to prior to initiation of services and set forth within a written agreement. Fees are priced according to the degree of complexity associated with the client's situation and are negotiable. Integral, in its sole discretion, may waive its minimum fee and/or charge a lesser fee based upon certain criteria (e.g., historical relationship, type of assets, anticipated future earning capacity, anticipated future additional assets, dollar amounts of assets to be managed, related accounts, and account composition to name a few). We will not require prepayment of a fee more than six months in advance and in excess of $500 for any of our advisory services as described below: Financial Planning First, clients complete the Financial Plan process. The fixed fee for a Financial Plan is predicated upon the facts known at the start of the engagement and are based upon the complexity of the client's situation. The fixed fee range for written Financial Plans is $3,500 to $6,000. Our fees our billed 50% in advance, with the balance due upon delivery of the written plan typically occurring within three (3) months. After delivery of a financial plan, future meetings may be scheduled to clarify the recommendations as necessary for up to three (3) months. Since financial planning is a discovery process, situations may occur wherein the client is unaware of certain financial exposures or predicaments. In the event that the client's situation is substantially different than disclosed at the initial meeting, a revised fee will be provided upon our mutual agreement. The client must approve the change of scope in advance of any additional work being performed prior to an effective fee change. Hourly Planning Integral provides hourly planning services for clients who require advice on a limited scope of work. Our hourly planning fees are $250 per hour and negotiable. An estimate of the total time and cost will be determined at the start of the advisory relationship. In limited circumstances, the cost and time could potentially exceed the initial estimate. In such cases, we will notify you and request that you approve the additional fee. Our hourly planning fees are due and payable upon completion of the services and will be clearly set forth in an Hourly Financial Planning Agreement prior to initiation of the services. Comprehensive Wealth Management Since a written financial plan is a prerequisite to our Comprehensive Wealth Management services, our fees for Comprehensive Wealth Management are separate and apart from our Financial Planning fees as discussed above. The managed accounts included as investment assets are clearly set forth within our written agreement. The annual fee for our comprehensive wealth management services is billed quarterly in arrears based on an annual fixed fee ranging from $3,200 to $23,500, depending upon the complexity of your financial situation. If the comprehensive wealth management agreement is executed at any time other than the first day of a calendar quarter, our fees will apply on a pro rata basis, which means that the advisory fee is payable in proportion to the number of days in the quarter for which you are a client. Our advisory fee is negotiable, depending on individual client circumstances. Lower fees for comparable services may be available from other sources. You have a choice for our payment methods. You can select from one of the following options: (1) send you an invoice for the payment of our advisory fee, or (2) we will deduct our fee directly from your account through the qualified custodian holding your funds and securities. The form of payment for option (1) typically is via check. If option (2) is selected, we will deduct our advisory fee only when you have given our firm written authorization permitting the fees to be paid directly from your account. Further, the qualified custodian will deliver an account statement to you at least quarterly. These account statements will show all disbursements from your account. You should review all statements for accuracy. Income Tax Preparation Tax preparation work is separate and apart from our financial planning, hourly planning or comprehensive wealth management services. Fees for income tax preparation are fixed but vary based upon the complexity of the return. They typically range from $150 to $400. These fees are due and payable upon delivery of your return. Termination of Our Agreement(s) A Client may terminate any of the aforementioned services at any time by notifying Integral in writing and paying the rate for the time spent on the investment advisory engagement prior to notification of termination. If the client made an advance payment, Integral will refund any unearned portion of the advance payment within 30 days. Integral may terminate any of the aforementioned services at any time by notifying the client in writing. Integral reserves the right to stop work on any account that is more than 90 days overdue. In addition, Integral reserves the right to terminate any engagement where a client has willfully concealed or has refused to provide pertinent information about financial situations when necessary and appropriate, in Integral's judgment, to providing proper financial advice. Additional Fees and Expenses As part of our investment advisory services to you, we may invest, or recommend that you invest, in mutual funds and exchange traded funds. The fees that you pay to our firm for investment advisory services are separate and distinct from the fees and expenses charged by mutual funds or exchange traded funds (described in each fund's prospectus) to their shareholders. Item 7 Types of Clients We offer investment advisory services to individuals as well as high net worth individuals to include trusts and estates. In general, we do not require a minimum dollar amount to open and maintain an advisory account; however, we have the right to terminate your Account if it falls below a minimum size which, in our sole opinion, is too small to manage effectively. Towards that end we may combine account values for you and your minor children, joint accounts with your spouse, and other types of related accounts. |
