Item 5: Fees and Compensation
A. Methods of Compensation and Fee Schedule
Investment Advisory Services
Clients can determine to engage HWM to provide discretionary advisory services on a fee basis.
Clients are charged an annual asset-based fee for these services which is calculated as a
percentage of the market value of their assets in HWM’s management in accordance with the
below fee schedule. Fees to be assessed will be outlined in the advisory agreement to be signed
by the client. Annualized advisory fees are billed on a quarterly basis in arrears based on the
average daily account balance.

This is not a “blended” annual fee schedule in which each tier of assets is charged a different rate
under the annual fee schedule creating the effect of a blended fee rate used at the time of billing.
Under our fee schedule described above, only one rate is charged against all of the client’s assets
under management in this program. For example, an account with a $3,000,000 value, the
entire portion is billed at 1.00%. The typical annual advisory fees range of advisory fees
currently ranges from 0.25% to 1.45%. Fees are negotiable in certain limited circumstances at
the advisor’s sole discretion. HWM’s negotiation of fees is based on one or more of the following
factors: number of accounts, positions, account objectives, risk tolerances, and restrictions
requested by the client. HWM also considers the level of assets managed and level of overall
complexity. Discounts, not generally available to our advisory clients, could be offered to family
members and friends of associated persons of HWM. It is important to note that HWM bills on
cash and cash equivalents. Cash awaiting investment or reinvestment is sometimes invested in
cash balances or money market funds at the account custodian. Cash balances are included in
the assets that are used to calculate the advisory fees as it serves as part of the allocation
strategies from time to time.

As described in Item 8 of this brochure, we offer a Strategic Allocation service and a Basic Asset
Allocation service. Due to differences between the two options, we charge a higher fee on
portfolios invested using a Strategic Allocation compared to a Basic Asset Allocation. This
advisory fee variation creates an incentive for HWM to recommend that clients invest using a
Strategic Allocation resulting in HWM receiving a higher advisory fee instead of recommending
a strategy based solely on the client’s investment interests. This is a conflict of interest. HWM
has taken steps to manage its conflict of interest arising from this fee variation for current
clients, whereby HWM and its investment advisor representatives will provide investment
advice without regard to the fee payable to HWM for such advice and without any aim of
increasing HWM’s compensation at the expense of the client’s interest. Moreover, HWM and its
investment advisor representative will change the allocation of assets from a Basic Asset
Allocation to Strategic Allocation on a non-discretionary only basis. This means HWM will
explain the recommended change, explain the fee difference, and attain the client’s approval
before moving from a Basic Asset Allocation to a Strategic Allocation. After the allocation
change is made, HWM will continue to manage the account on a discretionary basis.
If any portion of the client’s assets are managed by FMAX Essentials SMA program, the
applicable account will pay a Platform Fee. The Platform Fee is calculated as an annual
percentage of the total assets of each Client’s account based on the market value of the account
at the end of each quarter. Typically, there will be a minimum account Platform Fee for accounts
that do not meet the account minimum in the amount of $25 annually per client account. Clients
will receive agreements and disclosures stating the method of fee calculation of each SMA along
with complete details of their advisory fee schedule or rate.
Financial Planning Services
To the extent requested by the client, HWM will determine whether to provide financial
planning or consulting services on a stand-alone basis or as a complement to advisory services.
HWM’s financial planning fee is determined based on the scope of the services being provided
and the complexity of each client’s circumstances. All fees are agreed upon prior to entering into
an agreement with any client. The maximum hourly fee to be charged will not exceed $400.00
and flat fees will not exceed $10,000.00.
HWM’s financial plans are billed as “fee for service” with a fixed fee for a fixed service. The
planning and consulting fees are negotiable and typically range from $500.00-$10,000.00 with
a structured payment of 50% payable in advance. The remaining balance is due upon
completion of the plan. The decision to waive or reduce planning or consulting fees is at the sole
discretion of HWM and the investment advisor representative.
B. Client Payment of Fees
Clients may elect to have the advisory fees deducted from their custodial account. Both HWM’s
Investment Advisory Agreement and the custodial/clearing agreement authorize the custodian
to debit the account for the amount of the investment advisory fee and remit that management
fee to HWM in compliance with regulatory procedures. Advisory fee deductions occur in arrears

Item 7: Types Of Clients HWM’s clientele consist of individuals, businesses, and trusts. The services offered to each vary and are dependent upon the client’s unique circumstances. HWM has each client execute an independent Investment Advisory Agreement and each agreement offers services separately to each individual client. HWM does not impose any account limits or restrictions for maintaining or managing an account. SMAs have account minimums starting at $50,000. |
