ITEM 5 FEES AND COMPENSATION
A. FEE DESCRIPTION
Portfolio Management Fees
Private Fund
For its services to the Partnership, the Manager is entitled to a management fee (the
“Management Fee”) with respect to each Capital Account (defined in the Governing
Documents). The Management Fee is charged at an annual rate of one percent (1.0%) or
an annual rate of one and one-half percent (1.5%) of each Limited Partner’s Capital
Account balance depending on the Class of the Capital Account held by the Limited
Partner. The Management Fee shall be calculated and paid in advance on the first
business day of each calendar month in an amount equal to one twelfth (1/12) of the
annual percentage rate of the balance of such Capital Account as of such date. The
General Partner is authorized to waive or alter the Management Fee with respect to any
Limited Partner in its sole discretion.
The General Partner generally grants waivers of the Management Fee to principals and
employees of the Manager and its affiliates, as well as their related family members and
affiliates.
Separately Managed Accounts
Portfolio management fees are negotiable. Fees are based on a percentage of client
assets we manage and generally range between 0.75% to 2.00% per annum. This fee
applies to the total market value of all managed assets, including cash and excluding any
margin balance.
Portfolio management fees are paid either monthly or quarterly in arrears and shall be
calculated based on the fair market value of the portfolio on the last business day of the
billing period.
The initial fee will be calculated pro rata for the period based upon the number of days
that services were provided.
Consulting Services
Fees for consulting services are negotiated on a case-by-case basis and are highly
dependent on the Clients’ specific needs and the parameters of the engagement. Fees for
consulting services typically consist of a fixed monthly fee or an hourly fee invoiced
monthly in arrears. Lower fees for comparable services may be available from other
sources.
B. FEE DEDUCTION
Portfolio Management Services
Private Fund
The Management Fees are calculated, paid, and reported on the Limited Partner
statements prepared and issued by the Partnership’s third-party administrator monthly.
Additionally, the Partnership will provide each Limited Partner as soon as practicable after
the end of each calendar year (or as otherwise required by law) annual reports containing
financial statements examined by independent auditors (registered with, and inspected
by, the Public Company Accounting Oversight Board) selected by the General Partner in
its sole discretion, as well as such tax information as is necessary for each Partner to
complete federal and state income tax or information returns, along with any other tax
information required by law.
Each Limited Partner is responsible for verifying fee computations. If there is a question

Separately Managed Accounts
With Client written authorization, portfolio management fees are withdrawn directly
from the Client’s accounts. Fees are paid either monthly or quarterly in arrears. Refer to |

ITEM 7 TYPES OF CLIENTS
Portfolio Management Services
Private Fund
The Partnership is offering Interests for investment to Limited Partners that meet the
appropriate minimum requirement as “accredited investors” as defined in Rule 501(a)
under the Securities Act of 1933, as amended (the “33 Act”), “qualified clients” as defined
under Rule 205-3 under the Investment Advisers Act of 1940, as amended (the “Advisers
Act”) and “qualified purchasers” as defined in Section 2(a)(51) of the Investment
Company Act of 1940, as amended (the “ICA”). Each Limited Partner will be required to
provide certain representations, warranties, and assurances in its Subscription
Agreement.
Additionally, the Partnership is a commodity pool, as defined in the Commodity Exchange
Act (“CEA”) and the applicable regulations of the Commodity Futures Trading Commission
(“CFTC”). The Manager will operate the Partnership pursuant to CFTC Regulation 4.7,
which provides that interests are offered exclusively to investors who are, among other
things, “qualified eligible persons,” as defined in CFTC regulation 4.7, and, accordingly,
each subscriber for an Interest will be required to represent in its Subscription Documents
that it is a “qualified eligible person.”
The minimum initial investment for investors is two hundred fifty thousand dollars
($250,000) subject in each case to the General Partner’s discretion to accept initial
subscriptions in lesser amounts or to establish additional or different amounts in the
future.
Separately Managed Accounts
JRB Capital Management generally offers portfolio management to high-net-worth
individuals, charitable organizations, and other business entities. Generally, the required
minimum for portfolio management services is $10,000,000. JRB Capital Management
reserves the right to waive the minimum requirement. |
