Item 5 Fees and Compensation
ADVISORY FEES
The following information describes how First Global is compensated for the advisory services we
provide to our clients. The specific manner in which fees are charged and the compensation we
receive may differ between clients depending upon the individual Agreement with each client and
the type of client, non-qualified clients versus qualified clients. First Global reserves the right to
negotiate our compensation with clients depending on the scope of our advisory relationship, and
we may charge higher or lower fees than are available from other firms for comparable services.
First Global has the general discretion to waive all or a portion of our fees, but typically only
exercises this discretion for our employees.
A. Separately Managed Accounts
a. Non-qualified Clients. Pursuant to the terms of the Agreement with the client, First Global
charges an annualized advisory fee of 2.5% based on the client’s assets under management
(“AUM”), taken monthly in arrears (the “Advisory Fee”). These fees are negotiable.
b. Qualified Clients. For qualified clients, if agreed upon in writing and pursuant to the terms of
the Agreement with the client, First Global charges an annualized Advisory Fee of 2.0% based
on the client’s assets under management (“AUM”), taken monthly in arears and performance-
based profit allocation of up to 10% of each investor’s annual net realized and unrealized
profits, taken annually in arears; provided, however, that such performance-based
compensation is also subject to a hurdle rate of 9% Per annum, so that the performance-based
compensation will only be deducted when the investor’s account value at year end, exceeds
the hurdle rate of 9%. The hurdle rate of 9% is for each year and is not cumulative. In case of
loss or gains which are less than the hurdle rate, the hurdle rate would not be carried forward
for set off next year. The performance-based fee is also subject to a high water mark provision
where fees will not be deducted when there is a cumulative loss in a client’s account. Our
performance-based profit allocations are deducted from each investor’s account at the end of
each year or when an investor makes a withdrawal (pro-rated based on the amount withdrawn).
These fees are subject to specific negotiations with each particular client.

B. Funds
First Global (UK) Ltd provides non-binding advise to FG Capital Management Ltd (FGCM)
which is the investment manager for the FG Capital SPC funds and receives 90% of the Advisory
and Performance Fees charged by FGCM to the Fund. The Investment Manager FGCM is
charging the fees as below to the Fund:
a. Advisory Fee. FGCM receives an Advisory Fee in respect of the Funds of up to an aggregate
of 2.0% per annum of the net asset value of the Funds, calculated (before deduction of that
month’s Advisory Fee and before deduction of any accrued Performance Fees) on the relevant
valuation point, accrued daily and payable monthly in arrears.
b. Performance Fees. FGCM generally receives a performance-based fee, equal to 8% in the
aggregate of the net profits allocation to the Funds for the year, in excess of a 10% annualized
rate of return (the “Hurdle Rate” and the fee, the “Performance Fee”). The Performance Fee is
also subject to a “high water mark” procedure such that the Performance Fee is taken only to
the extent net profits allocated to the Funds exceeds any cumulative losses that were allocated
to the Funds for earlier periods and that have not been recovered.
Payment of Fees. Advisory fees, incentive allocations, and third-party fees (discussed below) are
deducted from Clients’ assets. Advisory fees, which are paid in arrears, are withdrawn at the
beginning of the next month. Incentive allocations are allocated as of the last business day of the
calendar year and as of any date on which an Investor makes a withdrawal or receives a distribution
from such Investor’s capital account(s).
Third-Party Fees. The Clients shall pay such costs and expenses as First Global shall reasonably
determine to be necessary, appropriate, advisable or convenient to carry on its business and realize
its objective, including but not limited to: (i) Advisory fees; (ii) all general investment expenses
(i.e., expenses which First Global reasonably determines to be directly related to the investment of
the Clients’ assets); (iii) all administrative, legal, accounting, auditing, record-keeping, tax form
preparation, compliance and consulting costs and expenses; (iv) fees, costs and expenses of third-
party service providers that provide such services; and, (v) any extraordinary expenses, among
other expenses
The fees that Clients pay to our Firm for investment advisory services are separate and distinct
from the internal fees and expenses charged by mutual funds (described in each fund’s prospectus)
to their shareholders. The fees charged directly by mutual; funds will typically include an advisory
fee and other fund expenses.
Clients will incur transaction charges and/or brokerage fees when purchasing or selling securities.
These charges and fees are typically imposed by the broker-dealer or qualified custodian through
which account transactions are executed. For more information on our brokerage practices, please
refer to Item 12 (Brokerage Practices) of this Brochure.
To fully understand the total costs associated with their investment portfolio, clients should review
all the fees charged by exchange traded funds, our Firm and others.
Refunds. With respect to the Separately Managed Accounts, upon receipt of a proper notice of
termination from the client, as described in the Agreement, any earned unpaid fees will be billed

TYPES OF CLIENTS
First Global provides investment advisory services to the Funds and Separately Managed
Accounts, including individuals and high net worth individuals. Client relationships may vary in
Part 2A of ADV:

scope and length of service. First Global may in the future provide the same or similar services to
other privately placed investment funds and/or separately managed accounts.
ACCOUNT REQUIREMENTS
With respect to Separately Managed Accounts, First Global generally requires a minimum account
balance of $10,000 for our investment advisory services. However, First Global in its sole
discretion may waive or lower our minimum account balance requirement based on various criteria
(i.e., anticipated future additional assets to be managed, related accounts, account composition,
negotiations with the client, etc.).
With respect to the Funds, prospective Investors in the Funds must meet eligibility criteria, and are
subject to certain withdrawal requirements and limitations. Prospective Investors are encouraged
to thoroughly review the applicable Fund’s offering memorandum, memorandum and articles of
association, and subscription documents (collectively, the “Constituent Documents”), which set
forth all of the terms in detail. Though the Clients generally pursue the same strategy, offering
terms may differ. Each Investors generally must be an “accredited investor” (as defined in
Regulation D under the Securities Act of 1933, as amended), and a Qualified Client. The minimum
initial investment is $100,000.
For performance-based fee arrangements, clients must meet the definition of a “qualified client”
in Rule 205.3 under the Advisers Act, as described above in response to Item 6. |
