Item 5 – Fees and Compensation
For the management of marketable securities, MLLW’s current basic fee schedule is as follows:

The specific manner in which fees are charged by MLLW is established in a client’s written investment advisory agreement with MLLW. All fees are
subject to negotiation. MLLW will generally bill its fees quarterly in arrears. Clients may elect to be billed directly for fees otherwise MLLW will
directly debit fees from client accounts. Management fees shall be prorated for capital contributions and withdrawals, within certain de minimis
limits, made during the applicable calendar quarter. Accounts initiated or terminated during a calendar quarter will be charged a prorated fee.
Upon termination of any account, any prepaid, unearned fees will be promptly refunded, and any earned, unpaid fees will be due and payable.
MLLW’s fees are exclusive of brokerage commissions, transaction fees, and other related costs and expenses which shall be incurred by the client.
Clients may incur certain charges imposed by custodians, brokers, third party investments and other third parties such as fees charged by
managers, custodial fees, deferred sales charges, odd-lot differentials, transfer taxes, wire transfer and electronic fund fees, and other fees and
taxes on brokerage accounts and securities transactions. Mutual funds and exchange traded funds also charge internal management fees, which
are disclosed in a fund’s prospectus. Such charges, fees and commissions are exclusive of and in addition to MLLW’s fee and MLLW shall not
receive any portion of these commissions, fees, and costs. Item 12 further describes the factors that MLLW considers in selecting or
recommending broker-dealers for client transactions and determining the reasonableness of their compensation (e.g., commissions). |

Item 7 – Types of Clients
MLLW provides portfolio management services to individuals, high net worth individuals, trusts, corporate pension and profit-sharing plans,
charitable institutions, foundations, endowments, and private investment funds.
When we provide investment advice to you regarding your retirement plan account or individual retirement account, we are fiduciaries within the
meaning of Title I of the Employee Retirement Income Security Act and/or the Internal Revenue Code, as applicable, which are laws governing
retirement accounts. Compensation for our services may create conflicts with your interests, so we operate under a special rule that requires us to
act in your best interest and not put our interest ahead of yours. Under this special rule’s provisions, we must:
• Meet a professional standard of care when making investment recommendations (give prudent advice);
• Never put our financial interests ahead of yours when making recommendations (give loyal advice);
• Avoid misleading statements about conflicts of interest, fees, and investments;
• Follow policies and procedures designed to ensure that we give advice that is in your best interest;
• Charge no more than is reasonable for our services; and
• Give you basic information about conflicts of interest |
