Item 5 – Fees and Compensation
The following paragraphs detail the fee structure and compensation methodology for services provided by
the Advisor. Each Client engaging the Advisor for services described herein shall be required to enter into
a written agreement with the Advisor.
A. Method of Compensation and Fee Schedule
Investment Management Services
Investment advisory fees are paid quarterly, in advance of each calendar quarter, pursuant to the terms of the
investment advisory agreement. Investment advisory fees are based on the market value of assets under
management at the end of the prior calendar quarter and are based on the following tiered fee schedule:

The investment advisory fee in the first quarter of service is prorated from the inception date of the account[s]
to the end of the first quarter. Unless otherwise noted in writing, our firm bills on cash. Fees may be negotiable
at the sole discretion of the Advisor. The Client’s fees will take into consideration the aggregate assets under
management with Advisor. All securities held in accounts managed by MWM will be independently valued
by the Custodian.
MWM will not have the authority or responsibility to value portfolio securities.
Investment advisory fees are calculated by the Advisor or its delegate and deducted from the Client’s
account[s] at the Custodian. The Advisor shall send an invoice to the Custodian indicating the amount of the
fees to be deducted from the Client’s account[s] at the beginning of each quarter. The amount due is
calculated by applying the quarterly rate (annual rate divided by 4) to the total assets under management
with MWM at the end of the prior calendar quarter. Clients will be provided with a statement, at least quarterly,
from the Custodian reflecting deduction of the investment advisory fee. Clients provide written authorization
permitting MWM to be paid directly from their account[s] held by the Custodian as part of the investment
advisory agreement and separate account forms provided by the Custodian.
Financial Planning Services
MWM offers financial planning and consulting services either on an hourly basis, a fixed engagement fee, or
an ongoing subscription fee basis. Hourly engagements will be billed at $400 per hour. Fixed fee
engagements generally range from $1,000 to $50,000, based on the nature and complexity of the services to
be provided and the overall relationship with the Advisor. Ongoing financial consulting fees will not exceed
$3,000 per quarter and will be outlined in the signed agreement. Fees may be negotiable at the sole
discretion of the Advisor. An estimate for total hours and/or total costs will be provided to the Client prior to
engaging for these services.
Single Consultative Plans will be invoiced fifty percent (50%) of the expected total fee upon execution of the
financial planning agreement. The balance shall be invoiced upon completion of the agreed upon
deliverable[s]. Ongoing Consultative Plans will be billed quarterly in advance.
ERISA Services
The annual fees are based on the market value of the Included Assets and will not exceed 0.70%. The
annual fee is negotiable and will be charged as a percentage of the Included Assets. Fees may be charged
quarterly or monthly in arrears or in advance based on the assets as calculated by the custodian or record
keeper of the Included Assets (without adjustments for anticipated withdrawals by Plan participants or other
anticipated or scheduled transfers or distribution of assets). If the services to be provided start any time
other than the first day of a quarter or month, the fee will be prorated based on the number of days remaining
in the quarter or month. If this Agreement is terminated prior to the end of the billing cycle, MWM shall be
entitled to a prorated fee based on the number of days during the fee period services were provided or
Client will be due a prorated refund of fees for days services were not provided in the billing cycle.
The fee schedule, which includes compensation of MWM for the services is described in detail in Schedule
A of the ERISA Plan Agreement. The Plan is obligated to pay the fees, however the Plan Sponsor may
elect to pay the fees. Client may elect to be billed directly or have fees deducted from Plan Assets. MWM
does not reasonably expect to receive any additional compensation, directly or indirectly, for its services
under this Agreement. If additional compensation is received, MWM will disclose this compensation, the
services rendered, and the payer of compensation. MWM will offset the compensation against the fees
agreed upon under the Agreement.
B. Client Payment of Fees
Fees for investment management services are:

• Deducted from a non-qualified account managed by MWM
• Electronic Payment via ACH, Debit Card, or Credit Card (fees will be paid via a third party payment
processor in which the client will securely input payment information and pay the advisory fee

Item 7 – Types of Clients MWM offers investment advisory services to individuals, high net worth individuals, trusts, estates, and businesses. MWM generally imposes a minimum household size of $500,000 for establishing a relationship. This minimum may be waived at the discretion of management. |
