Item 5 Fees and Compensation
Investment Advisory Services
Our fee for portfolio management services is based on a percentage of the assets in your account and
is set forth in the following annual fee schedule:

Our annual portfolio management fee is billed and payable, quarterly in advance, based on the
balance at end of billing period. If the portfolio management agreement is executed at any time other
than the first day of a calendar quarter, our fees will apply on a pro rata basis, which means that the
advisory fee is payable in proportion to the number of days in the quarter for which you are a
client. Our advisory fee is negotiable, depending on individual client circumstances.

At our discretion, we may combine the account values of family members living in the same household
to determine the applicable advisory fee. For example, we may combine account values for you and
your minor children, joint accounts with your spouse, and other types of related accounts. Combining
account values may increase the asset total, which may result in your paying a reduced advisory fee
based on the available breakpoints in our fee schedule stated above.

We will deduct our fee directly from your account through the qualified custodian holding your funds
and securities. We will deduct our advisory fee only when you have given our firm written authorization
permitting the fees to be paid directly from your account. Further, the qualified custodian will deliver an
account statement to you at least quarterly. These account statements will show all disbursements
from your account. You should review all statements for accuracy.

We will deduct our fee directly from your account through the qualified custodian holding your funds
and securities. We will deduct our advisory fee only when the following requirements are met:

    • You provide our firm with written authorization permitting the fees to be paid directly from your
      account held by the qualified custodian;
    • The qualified custodian agrees to send you a statement, at least quarterly, indicating all

       amounts disbursed from your account including the amount of the advisory fee paid directly to
       our firm.

We encourage you to review the statement generated by the qualified custodian outlining the advisory
fee deducted from your account quarterly against the written Investment Advisory Agreement signed
when establishing your relationship with Navista Wealth Management, Inc.

You may terminate the portfolio management agreement upon 30 days written notice. You will incur a
pro rata charge for services rendered prior to the termination of the portfolio management agreement,
which means you will incur advisory fees only in proportion to the number of days in the quarter for
which you are a client. If you have pre-paid advisory fees that we have not yet earned, you will receive
a prorated refund of those fees.

Financial Planning and Consulting Services
Divorce Planning Services: We charge either an hourly fee or a fixed fee for our divorce planning
services. The fee for these services are agreed upon in writing at the start of the relationship. Our fee
is billed and payable in advance. The fee is negotiable depending upon the complexity and scope of
the plan, Client's financial situation, and objectives. Additionally, in the event Adviser is called to serve
in this manner, the following hourly fees would be charged in addition to the fee for divorce planning
services:

Court Preparation                 $350/hour
Travel Time                       $75/hour
Attendance at Court               $350/hour
Administrative                    $75/hour

Hourly Fees: We charge an hourly fee ranging from $50 to $350 an hour for financial planning
and consulting services depending upon to the complexity and the comprehensiveness of the
service performed.

Fixed Fees: We may offer Fee for Service which is a flat fee ranging from $200 to $5,000 depending
upon the complexity and comprehensiveness of the service performed.

Ongoing Review: Ongoing financial planning reviews are charged a fixed amount based on
the complexity and comprehensiveness not to exceed $500 per month, payable at the beginning of
each month.

An estimate of the total time/cost will be determined at the start of the advisory relationship. In
limited circumstances, the cost/time could potentially exceed the initial estimate. In such cases, we will
notify you and request that you approve the additional fee. We will not require prepayment of a fee
more than six months in advance and in excess of $1,200. Our Financial Planning Agreement defines
the scope of services, the areas where analysis and recommendations are desired, the client
responsibility and fees.

As outlined in the Financial Planning Agreement, one-half of the estimated total charges are due
upon execution of the agreement, and the other half is due upon completion of the plan. The client will
be invoiced as needed for outstanding fees based on the agreement. Additionally, the client can elect
to pay the full amount in advance. If a client decides to terminate the agreement, we will refund any
unearned portion of fees that have been paid in advance.

Financial Coaching Services: We charge a monthly fee of $200 per month for financial coaching

Item 7 Types of Clients
We offer investment advisory services to individuals including high net worth individuals.

We require a minimum of $25,000 to open and maintain an advisory account. At our discretion, we
may waive or negotiate this minimum account size. For example, we may waive or negotiate the
minimum if you appear to have significant potential for increasing your assets under our management.

We charge a minimum annual fee in the amount of 0.25% to open and maintain an advisory account.
At our discretion we may waive the minimum fee.

We may also combine account values for you and your minor children, joint accounts with your
spouse, and other types of related accounts to meet the stated minimum.
