Item 5: Fees & Compensation
    Advisory Fees

    The following information describes how Opportunus is compensated for the advisory services we
    provide to our clients. The specific manner in which fees are charged and the compensation we
    receive may differ between clients depending on the individual advisory agreement with each client.
    Fees may be negotiated with each client based on a variety of factors, such as the amount of assets
    being managed, future deposits to the accounts under management, the level and type of services
    provided, and the nature of the relationship with the client.

    Portfolio Management Services

    In consideration for providing clients with both financial planning and portfolio management
    services, Opportunus may charge a monthly or quarterly service fee in arrears not to exceed the

    1.25% annual asset-based fee. Fees may be negotiated with each client based on a variety of factors,
    such as the amount of assets being managed, future deposits to the accounts under management, the
    level and type of services provided, and the nature of the relationship with the client. Our firm bills
    on cash unless otherwise noted and directed by the client in writing. Adjustments will be made for
    deposits and withdrawals during the quarter.

    The annual portfolio management fee is billed and payable monthly or quarterly, in arrears, and is
    calculated based on the value of your account on the last business day of the previous calendar
    quarter. If the advisory agreement is executed at any time other than the last day of a calendar
    quarter, our fees will apply on a pro-rata basis, which means that the portfolio management fee is
    payable in proportion to the number of days in the quarter for which you were a client. Our fees are
    negotiable depending on individual client circumstances.

    Clients who meet the definition of a “qualified client” under the Investment Advisers Act of 1940 may
    elect a performance-based fee arrangement instead of an asset-based fee. Opportunus simply
    provides this as an optional fee arrangement and allows clients to make the selection.

    We will combine the account values of family members living in the same household to determine
    the applicable advisory fee (unless instructed otherwise by the client). For example, we may combine
    account values for you and your minor children, joint accounts with your spouse, and other types of
    related accounts. Combining account values may increase the asset total, which may result in you
    paying a reduced advisory fee.

    Unless we agree to bill you directly, we will deduct our fee directly from your account through the
    qualified custodian holding your funds and securities. We will deduct our advisory fee only when the
    following requirements are met:

         a) The client’s independent custodian sends statements at least quarterly showing the market
            values for each security included in the Assets and all account disbursements, including the
            amount of the advisory fees paid to our firm;
         b) Clients will provide authorization permitting our firm to be directly paid by these terms. Our
            firm will send an invoice directly to the custodian; and
         c) If our firm sends a copy of our invoice to the client, a legend urging the comparison of
            information provided in our statement with those from the qualified custodian will be
            included.

    Financial Planning & Consulting Services

    The fee for financial planning and consulting is an hourly rate of $500.00 per hour. This fee may be
    negotiable in certain cases and is due at the completion of the engagement. In the event of early
    termination by client, any fees for the hours already worked will be due. Fees for this service may be
    paid by electronic funds transfer or check. At the beginning of the engagement, an estimate of the
    number of hours needed to complete the service will be provided to the client and notated on the
    Advisory Agreement.

    Retirement Plan Consulting Services

    Our Retirement Plan Consulting services are billed on an hourly or flat fee basis or a fee based on the
    percentage of plan assets under management. The total estimated fee, as well as the ultimate fee
    charged, is based on the scope and complexity of our engagement with the client. The maximum
    hourly fee to be charged will not exceed $750. Our flat fees will not exceed $75,000. Fees based on a
    percentage of managed plan assets will not exceed 1%. The fee-paying arrangements for Retirement
    Plan Consulting service will be determined on a case-by-case basis and will be detailed in the signed
    consulting agreement.

    Embark Today

    The maximum total fee charged for our Embark Today service will not exceed 0.60% of assets under
    management. The fee is split between our firm and Betterment Securities. Fees are billed on a pro-
    rata annualized basis monthly or quarterly in arrears based on the average daily balance of your
    account during the previous month or quarter.

    For the sub-advisory services rendered to our clients, our firm compensates third-party investment
    advisory firms or individual advisors a percentage of the overall investment advisory fee charged by
    our firm.

Item 7: Types of Clients & Account Requirements
    Opportunus generally provides financial planning and portfolio management services to individuals,
    high net-worth individuals, retirement plans, trusts, estates, charitable organizations, corporations,
    or other businesses with a particular focus on high income professionals and business owners.

    Opportunus currently does not require a minimum account size for opening or maintaining an
    account. Rather, Opportunus conducts a client selection process based on a number of factors to
    verify it is a good mutual fit between the firm and prospective client.
