Item 5: Fees and Compensation
A. Fee Schedule
Portfolio Management Fees

Lower fees for comparable services may be available from other sources. Clients will not
be charged a total management fee over the 3% industry average. PWG uses the value of
the account as of the last business day of the billing period, after taking into account
deposits and withdrawals, for purposes of determining the market value of the assets
upon which the advisory fee is based. These fees are negotiable and the final fee schedule
will be memorialized in the client’s advisory agreement. The negotiated fees are based on
client asset size and/or client preference. Clients may terminate the agreement without
penalty within five business days of signing the Investment Advisory Contract.
Thereafter, clients may terminate the Investment Advisory Contract with 5 days' written
notice.
Selection of Other Advisers Fees
PWG will be compensated via a fee share from the advisers to which it directs those
clients. This relationship will be memorialized in each contract between PWG and each
third-party adviser. The fees shared will not exceed any limit imposed by any regulatory
agency.
PWG may direct clients to AE Wealth Management. The annual fee schedule is as follows:

The advisory fee is calculated using the value of the assets in the Account on the last
business day of the prior billing period. Clients may request to terminate the third-party
agreement by sending a written notice to PWG.
These fees are negotiable.
Sub-Advisor Fees
When using Sub-Advisors, the Client will not pay additional fees. The Sub-Advisors fees
are inclusive of the fees charged by Pearl Wealth Group. When using Sub-Advisors, fees
are billed monthly in arrears based on an average daily balance of the account for the
previous month. The calculation for the average daily balance is based on the formula:
Average Daily Balance x Client Fee / # of Days in year X # of Invested Days in Month.
For Example:
Account average daily balance for account: $100,000
Client Fee: 1.50%
Invested January 5th, number of days invested for the month = 26
$100,000 x 1.50%/365 x 26 = $106.85
Financial Planning Fees
Fixed Fees for Full Written Financial Planning Option
The negotiated fixed rate for creating client financial plans is between $1,600 and $5,000
depending on the complexity of the client’s financial situation and estimated time
required to complete and present the plan.
In determining the specific fee within this range, the Firm considers factors such as:
• The number of planning areas to be addressed (e.g., retirement, investment, tax,
insurance, and estate planning);
• The complexity of the client’s financial circumstances, including income sources,
asset structure, and tax considerations; and
• The level of analysis and number of plan iterations required to meet the client’s
objectives.
• Plans that involve multiple planning areas or require more in-depth analysis
typically fall toward the higher end of the fee range. The specific fee is disclosed
and agreed upon prior to the commencement of services
Financial Planning fees are not decreased if clients also engage for portfolio management
services.
Hourly Fees for Modular (segmented) Written Financial Plan Option
The hourly fee for this service is $250. The fees are negotiable, and the final fee schedule
will be attached as Exhibit II of the Financial Planning Agreement.
The negotiated fees are based on client asset size and/or client preference.
Clients may terminate the agreement without penalty within five business days of signing
the Financial Planning Agreement. Thereafter, clients may terminate the Financial
Planning Agreement upon written notice. Clients will owe 50 percent of the agreed upon
fee no later than 5 days after receiving final invoice.
B. Payment of Fees
Payment of Portfolio Management Fees
Asset-based portfolio management fees are withdrawn directly from the client's accounts
with client's written authorization on a quarterly basis. Fees are paid in arrears.
Payment of Selection of Other Advisers Fees
Fees for the selection of AE Wealth Management as third-party adviser are withdrawn
directly from the client's accounts with client's written authorization. Fees are paid
monthly in arrears. The third-party will collect the entire fee and will send PWG its
portion of the fee.
Payment of Sub-Advisor Fees
Fees are billed monthly in arrears based on an average daily balance of the account for the
previous month.
Payment of Financial Planning Fees
All Financial planning fees are paid via check and PayPal.
Fixed Fees for Full Written Financial Planning Option are paid in arrears upon
completion.
Hourly Fees for Modular (segmented) Written Financial Plan Option are paid the
following: (1) the first business day of each month; (2) the date when incurred hourly fees
and expenses will cause the retainer balance to be depleted to zero; (3) the date or
thereafter that PWG substantially provides the services described; and (4) the date the
engagement is terminated by either Client or PWG.
After 12 calendar months from delivery of initial retirement plan, any reviews or updates
of initial retirement plan will move to a one-time charge of $500.
C. Client Responsibility For Third Party Fees
