Item 5: Fees and Compensation
Method of Compensation and Fee Schedule
INVESTMENT MANAGEMENT FEES
PVW offers discretionary and non-discretionary investment management services to advisory
clients. Fees for these services are based on a percentage of assets under management as follows:
Assets Under Management Maximum Annual Fee Maximum Quarterly Fee
First $1,000,000 1.20% .30%
Next $1,000,001 - $2,000,000 1.00% .25%
Next $2,000,001 - $3,000,000 .80% .20%
$3,000,001+ .60% .15%
This is a tiered/blended fee schedule. The asset management fee is calculated by applying different
rates to different portions of the portfolio. PVW may group certain related client accounts for the
purpose of determining the annualized fee.
PeakValley Wealth, LLC
For example (based on quarterly billing period):
A client with $2,500,000 under management would pay $6,500.00 on a quarterly basis.
AUM Quarterly Fee Total
First $1,000,000 x .30% = $3,000
Next $1,000,000 x .25% = $2,500
Last $500,000 x .20% = $1,000
Total for the quarter $6,500
The annual fee is negotiable. Accounts within the same household can be combined for a reduced
fee. Fees are billed quarterly in arrears based on the amount of assets managed as of the close of
business on the last business day of each quarter. Quarterly advisory fees deducted from the
clients' account by the custodian are reflected in a provided fee invoice as fees are withdrawn.
Lower fees for comparable services may be available from other sources. If the client wishes to
terminate their account within five (5) business days of signing the Investment Advisory
Agreement, then they will receive a full refund. When clients terminate advisory services, the client
will provide PVW thirty (30) days written notice. PVW is entitled to a pro rata fee for the days
service was provided in the final quarter. The client is given thirty (30) days prior written notice
of any increase in fees, and the client acknowledges, in writing, any agreement of increase in said
fees.
PVW may also utilize the services of sub-advisors to manage clients’ investment portfolios. PVW
will enter into sub-advisor agreements with other Registered Investment Advisor (RIA) firms.
When using sub-advisors, the client will not pay additional fees. The sub-advisor fees are inclusive
of the total fee disclosed by PVW.
FINANCIAL PLANNING FEES
For a client who has assets managed by PVW, since there is already a broad understanding of the
client’s financial situation in order to fulfill PVW’s fiduciary duty, PVW offers financial planning
services on an ongoing and as-needed basis, included under the investment management fee. The
client will sign the Financial Planning Agreement, which will continue for as long as the client has
assets managed by PVW, or unless terminated by either party with thirty (30) days written notice.
For a client who does not have assets managed by PVW, PVW offers financial planning services at
an hourly rate of $250. The client will sign the Financial Planning Agreement, which will continue
until delivery of the completed financial plan. Payment is due in full upon completion and
delivery of the services. The client may cancel within five (5) business days of signing the
Agreement with no obligation and without penalty. If the client cancels after five (5) business
days, PVW reserves the right to collect any unpaid earned fees. PVW reserves the right to waive
the planning fee should the client implement the plan through PVW. The hourly rate is
negotiable. Engagement in future planning services is at the discretion of both the client and
PVW, and a new Agreement will be executed based on the new goals and objectives, given the
revised scope of the financial planning needs.
ERISA PLAN FEES
The annual fees are based on the market value of the included assets and are calculated by the
custodian or recordkeeper. The fees are charged either monthly or quarterly in arrears and do not
exceed an annual negotiable rate of 1.0% of the plan assets. The fee is prorated in the first billing
cycle based on the number of days services were provided. If the agreement is terminated prior to
PeakValley Wealth, LLC
the end of the fee period, the advisor is entitled to a prorated fee based on the number of days
during the fee period services were provided.
The compensation of PVW for the services is described in detail in Schedule A of the ERISA Plan
Agreement. The plan is obligated to pay the fees; however, the plan sponsor can elect to pay the
fees. PVW does not reasonably expect to receive any additional compensation, directly or
indirectly, for its services under the Agreement. If additional compensation is received, PVW
discloses this compensation, the services rendered, and the payer of compensation. PVW offsets
the compensation against the fees agreed upon under the Agreement.
Client Payment of Fees
Investment management fees are billed quarterly, in arrears, meaning that the client is invoiced
after the three-month billing period has ended. Payment in full is expected upon invoice
presentation. Fees are normally deducted from a designated client account to facilitate billing. The
client must consent in advance to direct debiting of their investment account.
Fees for one-time financial planning will be due upon completion of the services rendered, and
payment in full is expected upon invoice presentation.
