Item 5 - Fees and Compensation
    Our published fees are negotiable, and we may waive or discount our fees for our associates, their family
    members, pre-existing relationships, and those whom we consider to be centers of influence. We strive to
    offer fees that are fair and reasonable considering the experience of our firm and the services to be
    provided, and clients may be able to find lower fees for comparable services from other registered
    investment advisers.

    Financial Planning
    Financial planning services fees range from $175 to $250 per hour (depending on the representative
    serving the client), billed in 10-minute increments, and a partial increment will be treated as a whole. The
    client will be provided with an estimate of the number of hours to complete the plan and the anticipated
    fee which will depend on the level and scope of services required. The firm may require a deposit for the
    hourly engagement reflecting the lesser of $1,200 or one-half the higher end of the estimated project fee
    in order to initiate the financial planning project, and the remaining amount due upon delivery of the plan
    or advice. An hourly engagement lasting more than one month may be billed at the end of each month for
    time incurred.

    A fixed fee may be used when a client prefers ongoing assistance after delivery of their plan or advice. Our
    fee ranges from $75 to $150 per quarter and is due within the first 10 calendar days of each new quarter
    (quarterly, in advance). The fee will take into consideration factors such as the complexity of the client’s
    financial profile, the depth of services provided during the engagement, type assets and number of
    accounts that comprise the overall portfolio, estimated time involved in the engagement, among others.
    Clients with extensive planning needs, such as ultra-high net worth clients with a host of listed and non-
    traditional assets, unique multi-generational estate issues, wide-ranging charitable matters, special needs
    households, etc., are typically engagements warranting the upper end of our fixed fee engagement.

    Our financial planning invoices will be provided each time we assess our fee, and will include the fee to be
    charged, the formula or time used to calculate the fee, the period covered by the fee and the fee
    calculation itself.

    If the client elects to further engage the firm to provide its investment supervisory services, certain
    financial planning services fees during the initial engagement year may be waived at the discretion of the
    firm. External assets, often referred to as “held-away” accounts (e.g., 401(k) plan participant accounts,
    403(b) plans, stock options, etc.) are reviewed by our firm pursuant to our hourly fee engagements.

    Speaking Engagements
    While most of the engagements are pro bono in nature, fees for some speaking engagements and/or
    educational seminars are announced and negotiated with the client/program sponsor in advance.

    The assessed fee is determined by the length of time involved in the development and delivery of the
    speaking engagement, correlating into a fixed fee that is paid at the time of the seminar following delivery
    of our workshop invoice.

    Investment Supervisory Services
    Our firm does not assess account opening and/or administrative fees to initiate its investment supervisory
    services, nor are there minimum account sizes or minimum fees to open or maintain an investment
    account. Annualized asset-based fees are calculated and paid quarterly, in advance, based on the previous
    quarter’s ending value as noted in the following table. 4 We will prorate new or terminating accounts
    based on the number of days the firm will serve (for new) or has served (for terminating) the account in
    the reported quarter. The account’s market value is generally determined by the client's custodian or
    brokerage firm. In the absence of a published market value, the firm may seek an independent third-party
    opinion.

    Fee Example: An account maintaining assets of $500,000 as of prior quarter’s end would be assessed at
    the beginning of the new quarter $937.50 (quarterly, in advance). Formula: ($500,000 x 75 bps) = $3,750
    (annualized fee) ÷ 4 (quarters) = $937.50 (quarterly fee).

    Our fee is based on a blended tier. For example, an account maintaining $700,000 would be assessed 75
    basis points on the first $500,000, and the remaining amount above $500,000 would be assessed 60 basis
    points.

    At its discretion, the firm may aggregate accounts for the same individual or two or more "household
    accounts" within the same family, or accounts where a family member has power of attorney over
    another family member's account. If investment objectives are substantially different for any two or more
    household accounts, requiring different investment approaches, our firm reserves the right to apply its fee
    schedule separately to each account.

Item 7 - Types of Clients
We provide our advisory services to individuals, high net worth individuals, and corporations. We are also
available to serve foundations and charitable organizations in their meeting financial objectives in what
we believe to be a cost-effective way. Our firm does not require minimum income levels, minimum level
of assets or other limiting conditions to engage our services. We may waive or reduce certain fees based
on unique individual circumstances, special arrangements, or pre-existing relationships, and we reserve
the right to decline services to any prospective client for any non-discriminatory reason.
