Item 5: Fees and Compensation

        A. Fee Schedule

Financial Planning Fees (only applicalble to non- portfolio management )

Financial Planning fees are outlined below. The fixed fee is based upon the complexity
of the plan, the estimated amount of time used for creating a financial plan and may be
negotiated at the Advisers discretion. All services and fees are agreed upon in advance
as set forth in the Financial Planning Agreement.
The client will receive an invoice from the Firm to pay for the services provided upon
completion of the service/plan.

The client and the Firm may terminate the Financial Planning Agreement at any time
by providing notice in writing. If services are terminated within five (5) business days
of executing the agreement, services are terminated without penalty and no fees are
due. If services are terminated after five (5) business days upon receipt of the request,
any fees collected in advance will be refunded on a pro rata basis through the issuance
of a check. The client is responsible for paying fees for services completed prior to
notice of termination. Fees are calculated as a percentage of work completed on the
requested plan and/or services prior to the effective date of termination. The Firm will
provide the client with a billing statement that details the prorated fee and any refund
to which the client is entitled.

Selection of Other Advisers Fees (fully managed portfolios)

When SBFG directs clients to third-party investment advisers SBFG will receive its
standard fee on top of the fee paid to the third-party adviser. This relationship will be
memorialized in each contract between SBFG and the third-party investment adviser.
The fees will not exceed any limit imposed by any regulatory agency.

SBFG uses the value of the account as of the last business day of the billing period, after
taking into account deposits and withdrawals, for the purpose of determining the
market value of the assets upon which the advisory fee is based. Fees are paid monthly
in arrears.

These fees are generally negotiable, and the final fee schedule will be memorialized in
the client’s advisory agreement. Clients may terminate the agreement without penalty
for a full refund of SBFG's fees within five business days of signing the Investment
Advisory Contract. Thereafter, clients may terminate the Investment Advisory
Contract generally with 30 days' written notice.

Educational Seminars/Workshops

SBFG provides periodic educational seminars and workshops to clients and the
general public. There are no fees charged for this service.

        B. Payment of Fees

Payment of Portfolio Management Fees

    Asset-based portfolio management fees are withdrawn directly from the client's
    accounts with client's written authorization on a monthly basis. Fees are paid in
    arrears.

    Payment of Selection of Other Advisers Fees

    Fees for selection of third-party advisers are withdrawn directly from the client’s
    accounts with client's written authorization. Fees are paid monthly in arrears.

    Payment of Educational Seminars/Workshops

    SBFG does not charge for the educational seminars and workshops they offer.

           C. Client Responsibility for Third Party Fees

    The wrap fee program of your third-party manager includes brokerage commissions,
    transaction fees, and other related costs and expenses. The third-party manager fee is
    included in SBFGs total asset fee. Please see Item 12 of this brochure regarding
    broker-dealer/custodian.

           D. Prepayment of Fees

    SBFG collects its fees in arrears. It does not collect fees in advance.

           E. Outside Compensation for the Sale of Securities to Clients

    Neither SBFG nor its supervised persons accept any compensation for the sale of
    investment products, including asset-based sales charges or service fees from the sale
    of mutual funds.

    SBFG generally provides advisory services to the following types of clients:

  There is an account minimum of $250,000 for any of SBFG’s services. SBFG may waive
  this requirement in our sole discretion.
