Item 5: Fees & Compensation
1. Asset Management
The maximum annual fee charged for this service will not exceed 2.00%. Fees to be assessed will be
outlined in the advisory agreement to be signed by the Client. Annualized fees are billed on a pro-rata
basis quarterly in advance based on the value of the account(s) on the last day of the previous
quarter. Fees are negotiable and will be deducted from client account(s). In rare cases, our firm will
agree to directly invoice. As part of this process, Clients understand the following:

Our firm’s fees are billed on a pro-rata annualized basis quarterly in advance based on the value of
your account on the last day of the previous quarter. Our fees are generally negotiable.
Fees will generally be automatically deducted from your managed account. As part of this process,
you understand and acknowledge the following:
a) Custodian sends statements at least quarterly to Clients showing all disbursements for their
account, including the amount of the advisory fees paid to our firm;
b) The Client has provided authorization permitting fees to be directly paid by these terms;
c) Custodian or Firm calculates the advisory fees and deducts them from the Client’s account.
*In rare cases, we will agree to directly bill clients.
3. Additional Fees & expenses
Clients may incur transaction charges for trades executed in their accounts. These transaction fees
are separate from our fees and will be disclosed by the firm that the trades are executed through.
Also, clients will pay the following separately incurred expenses, which we do not receive any part
of: charges imposed directly by a mutual fund, index fund, or exchange traded fund which shall be
disclosed in the fund’s prospectus (i.e., fund management fees and other fund expenses).
4. Termination of Agreement – Refunds
We charge our advisory fees quarterly in advance. In the event that you wish to terminate our
services, we will refund the unearned portion of our advisory fee to you. You need to contact us in
writing and state that you wish to terminate our services. Upon receipt of your letter of termination,
we will proceed to close out your account and process a pro-rata refund of unearned advisory fees.
5. Commissionable Securities Sales.
In order to sell securities for a commission, our supervised persons are registered representatives of
LPL Financials, LLC (“LPL”), member FINRA/SIPC. Our supervised persons may accept compensation
for the sale of securities or other investment products, including distribution or service (“trail”) fees
from the sale of mutual funds. You should be aware that the practice of accepting commissions for
the sale of securities:
a) Presents a conflict of interest and gives our firm and/or our supervised persons an incentive
to recommend investment products based on the compensation received, rather than on your
needs. We generally address commissionable sales conflicts that arise:
i. when explaining to clients that commissionable securities sales create an incentive to
recommend products based on the compensation, we and/or our supervised persons
may earn and may not necessarily be in the best interests of the client;
ii. when recommending commissionable mutual funds, explaining that “no-load” funds
are also available.
b) In no way prohibits you from purchasing investment products recommended by us through
other brokers or agents which are not affiliated with us.
6. Retirement Accounts
When we provide investment advice to you regarding your retirement plan account or individual
retirement account, we are fiduciaries within the meaning of Title I of the Employee Retirement Income
Security Act and/or the Internal Revenue Code, as applicable, which are laws governing retirement
accounts. The way we make money creates some conflicts with your interests, so we operate under a
special rule that requires us to act in your best interest and not put our interest ahead of yours. Under
this special rule’s provisions, we must:
a) Meet a professional standard of care when making investment recommendations (give
prudent advice);
b) Never put our financial interests ahead of yours when making recommendations (give loyal
advice);
c) Avoid misleading statements about conflicts of interest, fees, and investments;
d) Follow policies and procedures designed to ensure that we give advice that is in your best
interest;
e) Charge no more than is reasonable for our services; and
f) Give you basic information about conflicts of interest. |
