ITEM 5: FEES AND COMPENSATION
Advisory Fees
Sandlot Private Wealth’s primary source of compensation is the fees charged for our advisory
services. These fees are based on the type of services provided, as described below.
Asset-Based Fees for Portfolio Management. For investment advisory services where we
manage client assets, our annual advisory fee typically ranges from 0.50% to 1.70% of the assets
under management (AUM). The specific fee for each client is determined based on factors such as
the size and complexity of the client relationship, the scope of services provided, and the total
amount of assets under management. This fee is negotiable. Our annual advisory fee is exclusive
of, and in addition to, brokerage commissions, transaction fees, and other related costs and
expenses that the client may incur.
Performance-Based Fees. For select private and alternative investment opportunities, Sandlot
Private Wealth may charge performance-based fees. These fees typically range from 0% to 20% of
investment profits and are generally charged only for certain investments where such fee structures
are common and customary, such as private equity funds, hedge funds, or other alternative
investments.
A “qualified client” is defined under Rule 205-3 of the Advisers Act as a client who, at the time of
entering into the advisory contract:
• Has at least $1,100,000 under management with the investment adviser immediately after
  entering into the contract; or
• Has a net worth of more than $2,200,000 (excluding the value of the client’s primary residence)
  either individually or jointly with their spouse immediately prior to entering into the contract; or
• Is a “qualified purchaser” as defined in Section 2(a)(51)(A) of the Investment Company Act of
  1940 (generally, an individual with at least $5,000,000 in investments); or
• Is an executive officer, director, trustee, general partner, or person serving in a similar capacity
  of the investment adviser; or
• Is an employee of the investment adviser who participates in the investment activities of the
  adviser and has been doing so for at least 12 months.
Performance-based fee arrangements will only be offered to qualified clients. The specific terms
of any performance-based fee arrangement, including the exact percentage, calculation
methodology, benchmark used (if any), and frequency of calculation and payment, will be fully
disclosed and agreed to by the client in writing prior to making any investment. This type of fee
arrangement may create a potential conflict of interest, as it may incentivize us to recommend
investments that carry a higher degree of risk in an attempt to generate better performance and thus
higher fees. However, we are committed to acting in our clients’ best interests and will only
recommend investments that are suitable based on the client’s individual circumstances, risk
tolerance, and investment objectives.
Fixed or Project-Based Fees for Additional Services. Additional services, such as estate planning
coordination, strategic business advisory, or custom family office support, may be billed separately.

These fees will be charged on a flat-rate, hourly, or project-based basis, and the specific fee will
be fully disclosed and agreed upon with the client in advance.
In no event will any fee exceed the maximum fee allowed under applicable law. Clients are
encouraged to discuss any questions or concerns regarding fees with their investment adviser
representative. Additionally, the fees listed above do not include fees paid to other advisers,
including sub-advisers when utilized as part of the portfolio management service. When using sub-
advisors, the client will pay additional portfolio management fees. Sandlot Private Wealth may
authorize the sub-advisor(s) to debit the client’s accounts for the fee. The specific manner in which
your fees are calculated and charged, including any sub-advisory fees, will be disclosed in your
client agreement.

Payment of Fees
Asset-Based Fees. Our asset-based advisory fees are generally billed quarterly. Depending on the
terms outlined in each client agreement, fees may be billed either in advance or in arrears. Fees are
typically deducted directly from client accounts held at a qualified custodian, provided the client
has given us written authorization to do so. Clients will receive account statements directly from
the custodian at least quarterly, detailing all disbursements, including the advisory fees paid to
Sandlot Private Wealth. Clients should carefully review these statements. In some cases, fees may
be invoiced directly to the client.
Fixed or Project-Based Fees. Fees for financial planning and other fixed-fee services are quoted
in advance and are generally payable as agreed upon in the client agreement, which may include
payment in advance, upon a determined schedule, or upon completion of specific milestones. We
will not require prepayment of more than $1,200 in fees six or more months in advance.

Client Responsibility for Other Fees and Expenses
Clients will also incur certain fees and expenses charged by third parties, such as custodian fees,
brokerage commissions, transaction fees, and the operating expenses of mutual funds and
exchange-traded funds (ETFs). These fees are separate from our advisory fees and are the
responsibility of the client. Information regarding fund expenses can be found in the prospectuses
of those funds. Sandlot Private Wealth does not receive any portion of these commissions, fees, or
expenses. Please refer to Item 12: Brokerage Practices for more information on brokerage and
custodial arrangements and transaction costs.

Prepayment and Refunds
If a client pays advisory fees in advance and the advisory agreement is terminated before the end

ITEM 7: TYPES OF CLIENTS
Sandlot Private Wealth primarily provides investment advisory services to the following types of
clients:
•   Ultra-high-net-worth individuals and families.
•   Entrepreneurs and business owners.
•   Family offices.
•   Select institutional partners.
•   Institutions, corporations, trusts, endowments, charitable organizations, foundations, and
    pension plans and similar retirement plans.
Our ideal clients are purpose-driven, growth-minded, and seeking a long-term advisory
partnership.
The typical minimum account size is $5 million. However, exceptions may be made in certain
circumstances based on factors such as relationship fit, family opportunity, or long-term potential.
Sandlot Private Wealth may decline engagements in its sole discretion for any reason, including,
but not limited to, account size.
