FEES & COMPENSATION

          Portfolio Management Fee

          Portfolio Management services are provided on an asset-based fee arrangement. The
          management fee will be calculated based on the net market value of your portfolio account(s) on
          the last business day of the previous calendar quarter (i.e., March 31st, June 30th, September 30th,
          and December 31st) multiplied by one-fourth the corresponding annual percentage rate (e.g., 1.00%
          ÷ 4 = 0.25%).

          We may, at our discretion, negotiate, waive, or reduce the management fee within each tier on a
          client-by-client basis depending on the size and complexity of the portfolio managed. In addition,
          as your portfolio value exceeds each tier level, either through additional deposits or asset growth,
          a fee break will occur. Our fee schedules are as follows:

      Protocols for Portfolio Management

      The following protocols establish how we handle our portfolio management accounts and what you
      should expect when it comes to: (i) managing your account; (ii) billing for portfolio management
      services; (iii) other fees charged to your account(s); and (iv) termination.

         Discretion
         Unless you request otherwise, we will establish discretionary trading authority on all management
         accounts to execute securities transactions without your prior consent or advice.

         You may, at any time, however, impose restrictions, in writing, on our discretionary authority (i.e.,
         limit the types/amounts of particular securities purchased for your account, etc.).

         Billing
         Your account will be billed quarterly in arrears based on the net fair market value of your portfolio
         on the last business day of the previous calendar quarter and where it falls within our tiered fee
         schedule. For new managed accounts opened between billing periods, our advisory fee will be
         pro-rated from inception through the end of the quarterly billing period. For existing management
         accounts, pro-rated adjustments will not be made for deposits and withdrawals between billing
         cycles.

         Our advisory fees will be debited from your portfolio quarterly by the custodian as instructed by
         us. Advisory fees will be deducted first from any money market funds or cash balances. If such

         assets are insufficient to satisfy payment of such fees, a portion of the account assets will be
         liquidated to cover the fees.

TYPES OF CLIENTS

          We primarily offer financial services to individuals and their families. We may also advise a
          foundation or endowment, a charitable organization, a corporation and/or small business, a trust,
          a guardianship, an estate, or any other type of entity to which we choose to give investment advice.

          We do not require a minimum initial investment to open a managed account with us.

          However, investments in certain types of securities, such as private placements, private credit,
          private equity, interval funds, and non-traded REITS, will require clients to attest to their status as
          an “accredited investor” or “qualified client” by completing a suitability questionnaire.

          An “accredited investor” is defined in Rule 501 of Regulation D under the Securities Act of 1933
          and generally includes most institutions and natural persons with a net worth over $1 million
          (excluding primary residence and certain debt secured by the property) or an annual income in
          excess of $200,000, or $300,000 for joint income, in each of the two most recent years.

          A “qualified client” is defined in Rule 205-3 under the Investment Advisers Act of 1940 and generally
          includes a natural person or institution that immediately after entering into an investment advisory
          contract has at least $1.1 million under the management of the investment adviser; or, has a net
          worth (excluding primary residence and certain debt secured by the property) of more than $2.2
          million at the time the contract is entered into.
