ITEM 5 – FEES AND COMPENSATION The specific manner in which fees are charged by Silver Oak is established in a client’s written Agreement with Silver Oak. Fees can be negotiable under certain circumstances at the sole discretion of Silver Oak. Although Silver Oak believes its advisory fees are competitive, clients should be aware that lower fees for comparable services can be available from other sources. FINANCIAL PLANNING, CONSULTING, AND TRANSITION PLANNING CONSULTING SERVICES The fee for providing financial planning, consulting, and financial transition consulting services is quoted before beginning a project. A fixed fee is most often utilized to compensate the firm for the specified project and is payable upon commencement of the engagement. In some cases, an hourly fee can be utilized as an alternative approach or in some situations as an addendum to a project fee if the client requests services beyond the scope of the initial project. Silver Oak adjusts the agreed-upon fixed fee annually according to the Consumer Price Index (“CPI”). For legacy clients, however, Silver Oak may or may not make a CPI-based adjustment. In all cases, such adjustment will be agreed upon in writing between Silver Oak and the client. Silver Oak’s fee for financial planning and financial transition consulting services generally range from $2,500 to $10,000 on a fixed monthly fee basis and from $250 to $450 on an hourly rate basis, depending upon the level and scope of the services required and the professional rendering the service(s). Financial planning and financial transition consulting fees are paid in advance. In the event the client terminates Silver Oak’s financial planning and/or financial transition consulting services, the unearned portion of Silver Oak’s fee, if any, shall be refunded to the client. Since financial planning and financial transition consulting services often require a large initial time commitment, a large portion of these fees are considered earned shortly after the project has begun. INVESTMENT MANAGEMENT For Investment Management services, Silver Oak will charge an annual fee up to 1.25% of assets under management. Silver Oak’s annual investment management fee is charged on a pro-rata basis, quarterly, in advance, based upon a percentage of the client’s assets under management (including cash and cash equivalents) as of the close of business on the last business day of the preceding calendar quarter. Note: Related accounts refer to the firm’s “householding” policy. The firm will household accounts for billing purposes. A household is defined as family relationships and domestic partnerships. This is done on an arm’s length negotiation basis. WEALTH MANAGEMENT (INCLUDING FINANCIAL PLANNING, FINANCIAL TRANSITION CONSULTING AND INVESTMENT MANAGEMENT SERVICES) For Wealth Management services, which include ongoing Financial Planning, Transition Planning and Investment Management services, Silver Oak typically requires a combination of (i) an annual fixed fee up to $60,000, depending on complexities, and (ii) an annual asset-based fee up to 1.00% of assets under management and assets under advisement on amounts over $1 million. Both the annual fixed fee and percentage fee are charged on a pro-rata basis, quarterly, in advance. The percentage fee is based upon a percentage of assets under management and assets under advisement (including cash and cash equivalents) as of the close of business on the last day of the preceding calendar quarter. In certain cases, Silver Oak may only require the annual fixed fee. Assets under Advisement refer to assets which Advisor monitors for Client on a non-discretionary basis and provides advice or consultation, but where Client is the party responsible for arranging or effecting the transactions, and Advisor will not have direct access to any Assets Under Advisement. Client accounts with a small balance can or will pay a higher annual fee than those charged by other investment advisers. As referenced above, under Investment Management: the firm will household accounts for fee billing purposes. A household is defined as family relationships and domestic partnerships. This is done on an arm’s length negotiation basis. Typically, fees will be automatically deducted from the client’s account by the custodian as soon as practicable following the end of each applicable period. However, clients can elect to be billed directly for fees upon written request to the firm. Management fees shall be prorated for each capital contribution and withdrawal made during the applicable calendar quarter (with the exception of de minimis contributions and withdrawals). Accounts initiated or terminated during a calendar quarter will be charged a prorated fee. Upon termination of any account, any prepaid, unearned fees will be promptly refunded, and any earned, unpaid fees will be due and payable. All securities under management will be subject to Silver Oak’s fee schedule regardless of whether held at a brokerage firm, custodian, or other location, unless excepted specifically in the client’s engagement agreement. Fees are subject to annual adjustment upon written notice to the client. Held-Away Assets Held-away assets to which Silver Oak manages via the Pontera platform will be billed according to the client’s Investment Management Agreement or Wealth Management Agreement, as applicable. Separately Managed Account Programs Clients utilizing SMA programs are charged an additional annual asset-based fee up to 0.50% of the assets included in the SMA program(s). The annual SMA program fee is charged on a pro-rata basis, quarterly, in advance, based upon a percentage of client’s SMA program assets under management (including cash and cash equivalents) as of the close of business on the last business day of the preceding calendar quarter. ITEM 7 – TYPES OF CLIENTS Silver Oak provides investment management and wealth management services to individuals, high net worth individuals, family trusts and irrevocable trusts, charitable organizations, and corporations or other businesses. Silver Oak does not have any requirements for opening or maintaining an account with Silver Oak. However, the SMA providers Silver Oak utilizes generally require the client to maintain a minimum account balance of $250,000. |
