FEES AND COMPENSATION

Advisory Fees
Advisory fees generally depend on the services being provided. Fee arrangements vary by client, and are
based on a number of different factors, including investment mandate, services performed, and
account/relationship size.

The following are the types of costs and expenses for clients availing the advisory services of SHI. For
investment management services, fees typically are expressed as a percentage of assets under
management. The fee can be in the form of a recurring charge based on the asset size and these fees
range from 1% to 2% (depending on the size of the asset and portfolio) each year.

The Fee structure will be agreed and listed in the Investment Management Agreement and the
Asset Management Agreement. In addition, fees and allocations are often fixed or fixed plus
performance. Certain fixed fees are required to be paid up front. For an additional discussion of
performance-based fees/compensation and allocations, please refer to Item 6 (“Performance-Based
Compensation and Side-by-Side Management”) of this Brochure. Fees generally are calculated and paid
quarterly and in advance of the rendering of services (except as separately negotiated or as otherwise
noted herein).

SHI charges a fee between 1% and 2% annually (payable quarterly), in advance, on the total market value
of all the client’s assets. The asset value is determined on the last day of the calendar quarter. Unless SHI
has approved a prior arrangement, fees are paid directly from the client’s account.

The management fee for a portfolio that is opened and/or funded during a calendar quarter will be
prorated based on the value of the portfolio assets as of the date SHI assumes management authority and
the remaining days of that quarter. A client has the right to rescind the management contract within thirty
(30) days of its execution by client and the client shall owe no advisory fee to SHI. Following the thirty day
rescission period, either SHI or the client may terminate the services agreement at any time by written
notice to the other.

If either party terminates the services agreement during a quarter for which fees have been paid, SHI will
prorate the fee paid on the basis of the number of days in the calendar quarter, and promptly return the
unearned portion of the fee to the client.

Other Fees and Expenses

In addition to the fees described above, clients bear other costs associated with investments or accounts
including but not limited to:

    (i) custodial charges, brokerage fees, commissions and related costs;
    (ii) interest expenses;
    (iii) taxes, duties and other governmental charges;
    (iv) transfer and registration fees or similar expenses;
    (v) costs associated with foreign exchange transactions;
    (vi) other portfolio expenses, including but not limited to licensing fees;
    (vii) banking, consulting or third-party advisory or legal services, each client is required to establish
          business relationships with relevant service providers or other counterparties based on the client’s
          own credit standing.

Soloman Hill 1llc will not have any obligation to allow its credit to be used in connection with the
establishment of such relationships, nor is it expected that such service providers or counterparties will
consider or rely on Soloman Hill 1llc’s credit in evaluating the client’s creditworthiness.

Co-Investments

The Advisers from time to time offer certain persons (affiliated or unaffiliated) the opportunity to co-
invest in particular investments alongside of a Private Fund, subject to certain restrictions. In each case
where co-investors participate in an investment, the Advisers will allocate expenses associated with such
investment, including broken-deal expenses, among such co-investors and other participants in the
investment in accordance with Soloman Hill 1llc’s expense allocation policies and procedures.

SHI does not represent that its fees are the lowest available and clients are advised that lower fees for
comparable services may be available from other sources.

TYPES OF CLIENTS
SHI provides Investment management service to accredited investor, finance institutions, banks, private
equity funds, private institution, and family office. Soloman Hill I LLC ensures compliance with investors
and government regulations by maintaining the requisite number of clients. Our company does not
engage with the general public, solidifying our commitment to regulatory compliance. SHI’s require a
minimum investment for the different services it provides, for asset management the basic minimum
portfolio size is US$10M.

However, if a client is genuinely interested in building their portfolio the client may start with a lesser
amount and continue to build their portfolio. SHI has the discretion to accept clients based on multiple
factors, including the amount of assets to be managed, the potential for additional assets, the client’s risk
profile, the client’s investment objective, goals and time horizon, etc.
