Item 5: Fees and Compensation
  A.​ Adviser is compensated for its advisory services primarily by fees charged based on a client’s
      assets under management with Adviser, flat fees, and/or hourly fees. Fees are negotiable, and
      each client’s specific fee schedule is included as part of the investment advisory agreement
      signed by Adviser and the client.​

         i.​    Asset-based fees for Portfolio Management services generally range from 0.10% to
                1.25% per annum of the client’s assets designated to be under our management,
                charged either monthly or quarterly, either in advance or arrears, and either based on the
                gross value of the client’s assets under our management as of a particular billing date or
                based on the average daily value of the client’s assets under our management during a
                particular billing period. The specific asset-based fee rate(s), frequency of billing, timing
                of billing, and valuation methodology are all set forth in the specific advisory agreement to
                be signed by a client.​

        ii.​    Flat fees for Financial Planning services generally range from $4,500 to $7,500 for the
                preparation of an initial financial assessment. To the extent Adviser is also engaged to
                render ongoing Financial Planning services, annual flat fees generally range from $4,500
                to $15,000. Ongoing flat fees may be charged either monthly, quarterly, or semi-annually,
                and either in advance or arrears, and will vary based on the nature and complexity of the
                client’s financial situation, specific needs, income, assets, liabilities and taxes. The
                specific flat fees, frequency of billing, and timing of billing are all set forth in the specific
                advisory agreement to be signed by a client. Ongoing flat fees are subject to automatic
                annual increases as tied to the Consumer Price Index.​
                ​
                To the extent a client also engages Adviser for Portfolio Management services and
                maintains at least $750,000 under Adviser’s management, Financial Planning services
                are provided for no additional fee (i.e., the flat fees described immediately above shall not
                apply).​

        iii.​   Hourly fees generally range from $275 to $625 per hour, charged either monthly or
                quarterly in arrears, and will vary based on the specific advisory personnel performing
                services. The specific hourly fee rates and frequency of billing are all set forth in the
                specific advisory agreement to be signed by a client.​

  B.​ Fees may be deducted from one or more of the client’s accounts designated to be under our
      management, or may alternatively be payable electronically via ACH, debit card, or credit card, or
      otherwise upon presentation of an invoice. Fees are prorated from the effective date of the
      advisory agreement through the effective date of termination. The prorated portion of any
      unearned prepaid fees will be refunded upon termination. To the extent fees are charged in
      arrears, Adviser shall be entitled to its prorated fees through the effective date of termination.​

  C.​ In addition to the fees charged by Adviser, clients will incur brokerage and other transaction costs.
      Please refer to Item 12: Brokerage Practices, for further information on such brokerage and other
      transaction-related practices. Depending on the specific investment products held in a client’s
      account and the services provided, a client may also incur additional fees and costs charged by
      other independent and unaffiliated third-parties. Such additional fees and costs may include, but
      are not necessarily limited to, the internal fees and costs of an investment product (like a mutual
      fund or exchange traded fund), margin interest, account or asset transfer fees, subadvisory or
      third-party investment manager fees, account type fees, early redemption charges, market-maker
      or bid-ask spreads, retirement plan fees, trade-away or prime brokerage fees, fees for receiving
      paper copies of documents in lieu of electronically-delivered documents, and other fees and taxes
      on brokerage accounts and securities transactions. These additional charges are separate and

    apart from the fees charged by Adviser. Lower fees for comparable services may be available
    from other sources.

D.​ Neither Adviser nor any of its supervised persons accepts compensation for the sale of securities
    or other investment products.

Item 7: Types of Clients
Adviser generally provides its services to individuals, high-net-worth individuals, and charitable
organizations. Adviser does not require a minimum account value to open or maintain an account. Please
note that the Third-Party Advisers retained by Adviser may separately impose minimum account value
requirements.
