Item 5: Fees and Compensation

A. Fee Schedule

Portfolio Management Fees

OPFL uses the value of the account as of the last business day of the prior billing period,
after taking into account deposits and withdrawals, for purposes of determining the
market value of the assets upon which the advisory fee is based. Fees for portfolio
management services are negotiable.

The fee is negotiable and the final fee schedule is attached as Exhibit II of the client
contract. Clients may terminate the agreement without penalty for a full refund of OPFL's
fees within five business days of signing the Investment Advisory Contract. Thereafter,
clients may terminate the Investment Advisory Contract generally with 5 days' written
notice.

All ongoing Portfolio Management clients will receive a financial plan at no additional
fee.

Pension Consulting Services Fees

consulting services are negotiable.

The final fee schedule is attached as Exhibit II of the pension consulting agreement.

Clients may terminate the agreement without penalty for a full refund of OPFL's fees
within five business days of signing the Investment Advisory Contract. Thereafter, clients
may terminate the pension consulting agreement generally with 5 days' written notice.
OPFL bills based on the balance on the first day of the billing period

Financial Planning Fees

The hourly fee for these services is up to $125. Fees for financial planning are negotiable.

B. Payment of Fees

Payment of Portfolio Management Fees

Fees are paid in advance. Asset-based portfolio management fees are withdrawn directly
from the client's accounts with client's written authorization on a quarterly basis, or may
be invoiced and billed directly to the client on a quarterly basis. Clients may select the
method in which they are billed.

OPFL will meet the following five conditions when withdrawing fees directly from
client accounts.

a. OPFL will obtain written authorization from the client permitting the adviser’s fees
   to be paid directly from the client’s account held by the independent custodian.
b. OPFL will ensure the independent custodian will send the client, at least quarterly, a
   statement indicating all amounts disbursed from the account.
c. OPFL will send a statement to clients showing the amount of the fee, the value of the
   client’s assets upon which the fee was based, and the specific manner in which the
   fee was calculated.
d. OPFL will disclose to clients that it is the client’s responsibility to verify the accuracy
   of the fee calculation and that the custodian will not determine whether the fee is
   properly calculated.
e. OPFL will send a bill to the custodian indicating the amount of the fee to be paid by
   the custodian to OPFL.

       Payment of Pension Consulting Fees

       Asset-based pension consulting fees are withdrawn directly from the client's accounts
       with client's written authorization on a quarterly basis, or may be invoiced and billed
       directly to the client on a quarterly basis. Clients may select the method in which they are
       billed. Fees are paid in advance.

       Payment of Financial Planning Fees

       Financial planning fees are paid via check or wire. Fees are paid quarterly.

       C. Client Responsibility for Third Party Fees

       Clients not participating in the wrap fee program are responsible for the payment of all
       third-party fees (i.e. custodian fees, brokerage fees, mutual fund fees, transaction fees,
       etc.). Those fees are separate and distinct from the fees and expenses charged by OPFL.
       Please see Item 12 of this brochure regarding broker/custodian.

       D. Prepayment of Fees

       OPFL collects fees in advance. Refunds for fees paid in advance will be returned within
       fourteen days to the client via check, or return deposit back into the client’s account.

       For all asset-based fees paid in advance, the fee refunded will be equal to the balance of
       the fees collected in advance minus the daily rate* times the number of days elapsed in
       the billing period up to and including the day of termination. (*The daily rate is calculated
       by dividing the annual asset-based fee rate by 360.)

       E. Outside Compensation for the Sale of Securities to Clients

       Neither OPFL nor its supervised persons accept any compensation for the sale of
       securities or other investment products, including asset-based sales charges or service fees
       from the sale of mutual funds.

There is no account minimum for any of OPFL’s services.
