Item 5: Fees & Compensation
Compensation for Our Advisory Services
Comprehensive Portfolio Management:
The maximum annual fee charged for this service will not exceed 2.25%. Fees to be assessed will be
outlined in the advisory agreement to be signed by the Client. Our firm bills on cash unless indicated
otherwise in writing. Annualized fees are billed on a pro-rata basis quarterly in advance based on the
value of the account(s) on the last day of the previous quarter. Fees are negotiable and will be
deducted from client account(s). Accounts opened mid-quarter will be billed a pro-rata fee in arrears
once for advisory services rendered prior to the client’s first full quarter with the firm. Our firm does
not offer direct invoicing. As part of this process, Clients understand the following:

a) The client’s independent custodian sends statements at least quarterly showing the market
values for each security included in the Assets and all account disbursements, including the
amount of the advisory fees paid to our firm;
b) Clients will provide authorization permitting our firm to be directly paid by these terms. Our
firm will send an invoice directly to the custodian; and
c) If our firm sends a copy of our invoice to the client, a legend urging the comparison of
information provided in our statement with those from the qualified custodian will be
included.
Separately Managed Accounts, Sub-Advisors, and or Third-Party Money Managers
The annual fee charged to clients whose portfolios incorporate third party money managers, sub
advisors and/or separately managed accounts (collectively “Third Parties”) will be distinct from the
maximum fee published for our Asset Management and Comprehensive Portfolio Management
Services. Our firm will debit its fees as laid out in the executed advisory agreement between the client
and our firm. Some Third Parties will debit fees as laid out in the executed advisory agreement
between the client and the Third Party. For other Third Parties that our firm utilizes, a separate
agreement is not present. As such, these Third Parties will debit fees in accordance with the
agreement in place between the client and our firm. The fee paid to the Third Party shall be separate
and in addition to the advisory fee paid to our firm. The Third Parties we recommend will not charge
a higher fee than they would have otherwise. Third Parties establish and maintain their own billing
procedures over which our firm has no control. In general, the Third Parties will directly bill clients
and provide a copy of the appropriate disclosure documents that explain their billing procedures.
Financial Planning & Consulting:
Our firm charges on an hourly or flat fee basis for financial planning and consulting services. The total
estimated fee, as well as the ultimate fee charged, is based on the scope and complexity of our
engagement with the client. The maximum hourly fee to be charged will not exceed $350. Flat fees
will not exceed $50,000. The fee paying arrangement will be determined on a case-by-case basis and
will be outlined in the signed consulting agreement. Our firm will not require a retainer exceeding
$1,200 when services cannot be rendered within 6 months.
Retirement Plan Consulting:
Our Retirement Plan Consulting services are billed on a fee based on the percentage of Plan assets
under management. The total estimated fee, as well as the ultimate fee charged, is based on the scope
and complexity of our engagement with the client. Fees based on a percentage of managed Plan assets
will not exceed 1.00%. The fee-paying arrangements will be determined on a case-by-case basis and
will be detailed in the signed consulting agreement.
Family Office Concierge Services:
Our firm charges on an hourly basis for concierge services. The hourly rate is adjusted for the scope
and complexity of our engagement with the client. The maximum hourly fee to be charged will not
exceed $350 for services requiring an adviser, and $125 for services rendered by administrative staff.
A client must execute a separate Concierge Services Agreement to engage our firm for this type of
service. Fees to be assessed for these services are separate from advisory fees and shall be outlined
in the Concierge Services Agreement. Clients will be invoiced directly by our firm quarterly in arrears
for the aggregate hours of concierge services performed in the previous quarter.

Other Types of Fees & Expenses
Clients will incur transaction fees for trades executed by their chosen custodian via individual
transaction charges. These transaction fees are separate from our firm’s advisory fees and will be
disclosed by the chosen custodian. Clients may also pay holdings charges imposed by the chosen
custodian for certain investments, charges imposed directly by a mutual fund, index fund, or
exchange traded fund, which shall be disclosed in the fund’s prospectus (i.e., fund management fees,
initial or deferred sales charges, mutual fund sales loads, 12b-1 fees, surrender charges, variable
annuity fees, IRA and qualified retirement plan fees, and other fund expenses), mark-ups and mark-
downs, spreads paid to market makers, fees for trades executed away from custodian, wire transfer
fees and other fees and taxes on brokerage accounts and securities transactions. Our firm does not
receive a portion of these fees. However, our recommended custodian Charles Schwab & Co. Inc.
(“Schwab”) does not charge transaction fees for U.S. listed equities and exchange traded funds.
It is important to note that any Mutual Fund position incurring 12b-1 fees. Our Firm will reduce the
advisory fee on the position to offset the 12b-1 fee.

Item 7: Types of Clients & Account Requirements
Our firm has the following types of clients:
• Individuals and High Net Worth Individuals;
• Trusts, Estates or Charitable Organizations;
• Pension and Profit Sharing Plans;
Our requirements for opening and maintaining accounts or otherwise engaging us:
• Our firm requires a minimum account balance of $500,000 for our Comprehensive Portfolio
Management and Asset Management services. Generally, this minimum account balance
requirement is not negotiable and would be required throughout the course of the client’s
relationship with our firm. This minimum balance, however, can be waived at the adviser’s
sole discretion.
• Our firm does not impose any minimum requirements for Financial Planning & Consulting
clients. |
