5. Fees and Compensation
Compensation to SymBiosis

SymBiosis does not charge a typical management fee for its advisory services to the Funds. In lieu of
such typical fees, SymBiosis’ operating subsidiary, SymBiosis Capital Management, LLC (“SCM”) is
reimbursed for all applicable expenses incurred by the Funds according to the Funds’ governing
documents. The compensation received for investment advisory services is budgeted annually
based on the Funds’ governing documents and is not typically negotiable.

As detailed in the Funds’ governing documents, SymBiosis is entitled to receive a carried interest up
to 20%; carried interest is generally based on distributions exceeding certain hurdles defined by the
Funds’ governing documents. As such, carried interest is contingent on the performance of the
Funds. Please refer to Item 6: Performance Based Fees and Side-By-Side Management for more
information regarding carried interest.

Fund Expenses

To the extent permissible under the Funds’ governing documents, each respective Fund shall bear all
expenses relating to it to the extent they are not borne in connection with the advisory activities of
the Firm, which may include venture capital investment or other applicable expenses incurred via
other securities bought, held, sold, or otherwise managed by the Firm. Typically, the Funds will pay
their pro-rata share of annual budgeted expenses of SymBiosis’ subsidiary SCM in accordance with
the applicable Fund’s governing documents. Additionally, the Funds shall reimburse SymBiosis for
expenses incurred that are not described herein as applicable under each Funds’ respective
governing documents.

Firm Expenses

As detailed in the Funds’ governing documents, the Funds also reimburse SCM for expenses incurred
for its continued operations. These expenses may include employee compensation, utilities and
lease payments for physical office space, business computer hardware and software, insurance
coverage, and other operational expenses.

7. Types of Clients
SymBiosis provides discretionary investment advice only to the Funds, which are SymBiosis’ only
clients. Interests in the Funds are privately offered to a limited number of sophisticated investors in
accordance with safe harbor requirements under Regulation D of the Securities Act of 1933 (the
“Securities Act”). SymBiosis does not currently state a minimum investment commitment
requirement, although SymBiosis may choose to instate one in the future.
