Item 5 Fees and Compensation
Portfolio Management Services
Our annual fee for portfolio management services typically ranges from 0.50% to 1.25% of assets
under management. In many cases, clients participate in third-party managed account programs where
the overall program fee includes our advisory fee as well as fees charged by the platform provider
and/or underlying investment managers. Clients participating in these programs generally see a single
fee deducted from their account for advisory and program services.
Clients may also incur other fees and expenses charged by the platform provider, underlying
investment managers, broker-dealer, custodian, or other third parties associated with the account.
Brokerage commissions, transaction charges, and other account-related expenses may also apply.
Our annual portfolio management fees are generally billed and payable, quarterly in advance, based
on the balance at end of billing period. Certain platform programs instead bill monthly in arrears based
on the average daily balance of the account during the previous month. Please refer to the agreed
upon terms in the agreement you execute with our firm.
If the portfolio management agreement is executed at any time other than the first day of a calendar
quarter, our fees will apply on a pro rata basis, which means that the advisory fee is payable in
proportion to the number of days in the month or quarter (whichever applies) for which you are a client.
In addition, our advisory fee will be applied or adjusted for future deposits or withdrawals on a pro rata
basis for the number of days remaining in the month or quarter (whichever applies). Our advisory fee is
negotiable, depending on individual client circumstances.
Fees are typically deducted directly from your account by the platform provider or custodian pursuant
to your written authorization, and the firm receives a portion of the advisory fee from the program
provider. Further, the qualified custodian will deliver an account statement to you at least quarterly.
These account statements will show all disbursements from your account. You should review all
statements for accuracy.
You may terminate the portfolio management agreement upon written notice. You will incur a pro rata
charge for services rendered prior to the termination of the portfolio management agreement, which
means you will incur advisory fees only in proportion to the number of days in the quarter for which you
are a client. If you have pre-paid advisory fees that we have not yet earned, you will receive a prorated
refund of those fees.
Financial Planning Services
We charge a fixed fee for financial planning services, which generally ranges between $500-$1,500.
The fee is payable in advance and negotiable depending upon the complexity and scope of the plan,
your financial situation, and your objectives. Should the engagement last longer than six months
between acceptance of financial planning agreement and delivery of the financial plan, any prepaid
unearned fees will be promptly returned to you less a pro rata charge for bona fide financial planning
services rendered to date.
We will not require prepayment of a fee more than six months in advance and in excess of $1,200.
You may terminate the financial planning agreement upon written notice to our firm. If you have pre-
paid financial planning fees that we have not yet earned, you will receive a prorated refund of those
fees. If financial planning fees are payable in arrears, you will be responsible for a prorated fee based
on services performed prior to termination of the financial planning agreement.
Selection of Other Advisers
Advisory fees associated with third-party money managers ("TPMMs") or investment programs are
generally included as part of the overall program fee paid by client. Assets managed by TPMMs will
be included in calculating our advisory fee, which is based on the fee schedule set forth in the Portfolio
Management Services section in this brochure. These fees may or may not be negotiable. You should
review the recommended TPMM's brochure and agreement carefully to fully understand the TPMM's
fees along with our fees to determine the total amount of fees associated with an investment
program.
You will be required to sign an agreement directly with the recommended TPMM. You may terminate
your advisory relationship with the TPMM according to the terms of your agreement with the TPMM.
You should review each TPMM's brochure and agreement for specific information on how you may
terminate your advisory relationship with the program adviser and how you may receive a refund, if
applicable. You should contact the TPMM directly for questions regarding your advisory agreement.
LPL Model Wealth Portfolios Program (MWP)
MWP offers clients a professionally managed mutual fund asset allocation program. SFP will obtain
the necessary financial data from the client, assist the client in determining the suitability of the MWP
program and assist the client in setting an appropriate investment objective. SFP will initiate the steps
necessary to open an MWP account and have discretion to select a model portfolio designed by LPL's
Research Department consistent with the client's stated investment objective. LPL's Research
Department, a third-party portfolio strategist and/or Advisor, through its IAR, may act as a portfolio
strategist responsible for selecting the mutual funds or ETFs within a model portfolio and for making
changes to the mutual funds or ETFs selected.
The client will authorize LPL to act on a discretionary basis to purchase and sell mutual funds and
ETFs and to liquidate previously purchased securities. The client will also authorize LPL to effect
rebalancing for MWP accounts. MWP requires a minimum asset value for a program account to be
managed. The minimums vary depending on the portfolio(s) selected and the account's allocation

Item 7 Types of Clients We offer investment advisory services to individuals (other than high net worth individuals), high net worth individuals and corporations (or other businesses not listed). In general, we do not require a minimum dollar amount to open and maintain an advisory account; however, we have the right to terminate your Account if it falls below a minimum size which, in our sole opinion, is too small to manage effectively. If we select other advisers for you, the TPMM will generally require a minimum of $10,000 to open and maintain an advisory account. |
