ITEM 5: FEES AND COMPENSATION A. Fees for Advisory and Other Services Fees for Breit’s services are separate from and in addition to any transaction charges and the fees charged by the custodian. Use within a managed account of a mutual fund, exchange-traded fund (ETF), separate account manager, private placement, and/or strategy consultant or other adviser, as the case may be, will incur similar expenses within those investments that are ultimately paid by the client. Investment Management Services Our fees for investment management services are set forth in our investment advisory agreement with the client. Our fees are generally based on a percentage of the client’s assets under management with Breit, payable quarterly in arrears, based on the balance at the end of the prior quarter. Fees charged are negotiable but will not exceed 1.20% annually of assets under management. Fees rates will vary based on the client’s assets under Breit’s management. Advisory fees shall apply to cash balances unless negotiated or agreed upon otherwise. For investment advice provided on held-away accounts and assets as mentioned above in Item 4, Breit’s fee is deducted from a brokerage account under Breit’s management or paid directly by the client on a quarterly basis. Fees are based on the value of these held-away accounts and assets; such valuations are generally provided to Breit on a quarterly basis as valued by the custodian. Fees will typically be based on the client’s full portfolio value, including the held-away accounts. The specific fee schedule charged and order management system utilized by Breit is established in a client’s written agreement with Breit. Breit utilizes the services of TownSquare Capital, LLC as a Sub-Adviser through a Sub-Advisory agreement (the “Sub-Adviser”). Fees payable to the Sub-Adviser are the obligation of Breit and not the Client. All fees and expenses charged by the Sub-Adviser are included in Breit’s management fee stated above. Pursuant to Breit’s current standard agreement, an investment advisory agreement may be terminated at will upon 30 days’ written notice. Clients may have alternate provisions concerning termination of such agreements. Breit will abide by the terms of the relevant investment advisory agreement. Depending on the needs of the client, Breit and the client may execute an investment advisory agreement that includes the provision of a one-time financial plan (the “Financial Plan”) of which there is no additional cost to the client. For Breit’s fees for ongoing and in-depth financial counseling and/or family office services, see below. Financial Counseling Services A client’s fee for financial counseling services generally depends upon the complexity of the engagement and scope of work. Prior to executing an agreement for the provision of financial counseling services, the client and their wealth advisor will discuss the nature of the work and decide on the fee. A Financial Counseling Fee generally is a negotiated fixed rate, billed in advance. The scope of work will be outlined in the agreement. As the service is ongoing, the fee for services in subsequent years may change if, based on the complexity of the engagement and scope of work, Breit and the client agree to revise the fee. In the event that financial counseling services are terminated, any unearned fees received by Breit will be refunded to the client. B. Payment of Fees Investment Management Services For accounts that it manages on a discretionary basis, Breit generally deducts its investment management fee directly from a client’s investment account(s) held at their custodian. Upon engaging Breit to manage such account(s), a client grants Breit this limited authority through a written instruction to the custodian. The fee generally is billed in arrears on a quarterly basis. A newly managed account is charged a fee from the start date to the end of the quarter. The fee is based on the value of the account the day prior to the start date. Thereafter, the quarterly fee is based on the market value of the account on the last business day of the previous quarter. Unless an advisory agreement specifies otherwise, Breit reserves the right, and will in its sole discretion, adjust the advisory fee on a pro rata basis for contributions made during the previous quarter on the subsequent quarterly billing statement. Clients generally are required to have their investment management fees deducted from their accounts. In some cases, however, Breit will directly bill a client for investment management fees if it determines that such billing arrangement is appropriate given the circumstances. Financial Counseling Financial counseling fees generally are paid in advance of the service provided. In the event of termination, any unearned portion of the fees paid are refunded to the client. C. Clients Responsible for Custodial and Brokerage Fees In connection with Breit’s management of an account, a client will incur fees and expenses separate from Breit’s investment management fee. These additional fees include transaction charges and the fees/expenses charged by any custodian, broker, mutual fund, limited partnership, or other advisor, all as applicable. The client is responsible for all such fees and expenses. Please see Item 12 of this Brochure regarding brokerage practices. D. Prepayment of Fees As noted above, investment management fees generally are paid in arrears. Upon the termination of a client’s investment advisory relationship, Breit will not charge any unearned management fee or investment consulting fee for the remainder of the quarter. Financial counseling fees are paid in advance. Any unearned portion of the fees paid are refunded to the client. E. ITEM 7: TYPES OF CLIENTS Breit provides investment advisory services to individuals/high-net-worth individuals, family offices, trusts, institutions, charitable organizations and foundations, corporations, businesses, and retirement/profit- sharing plans. Breit requires a minimum account size of $5,000,000 but may require a higher account value for certain strategies in the interest of maintaining diversification. Minimum account or asset size for alternative investments, private offerings, and third-party separate accounts varies depending on the manager, investment vehicle, and/or platform. Other types of clients and non-advisory services are described in Item 4. |
