Item 5 – Fees and Compensation The following paragraphs detail the fee structure and compensation methodology for services provided by the Advisor. Each Client shall sign one or more agreements that detail the responsibilities of Imprint and the Client. The fees and expenses described in this Item 5 may change from time to time as permitted by your advisory agreement and applicable law. We will provide any required notice of such changes, and continued use of our services after any applicable notice period constitutes your acceptance of the revised fees. A. Fees for Advisory Services Investment Management Services Investment advisory fees are paid quarterly, in advance of each calendar quarter, pursuant to the terms of the investment advisory agreement. Investment advisory fees are based on the market value of assets under management at the end of the prior calendar quarter. Investment advisory fees range from 0.50% to 2.00% annually based on several factors, including, but not limited to: the services offered to the Client, the complexity of the services to be provided, the level of Client assets managed by the Advisor, and/or the overall relationship with the Advisor. Clients are also subject to an annual platform fee based on the platform selected by the Client, which is implemented by the completion of a Limited Power of Attorney (“LPOA”). The fees above may include financial planning services at the sole discretion of the Advisor. The investment advisory fee in the first quarter of service is prorated from the inception date of the account[s] to the end of the first quarter. Fees may be negotiable at the sole discretion of the Advisor. In exercising this discretion, we may charge different fee rates to different clients for similar services based on factors such as asset levels, service complexity, overall relationship, and other legitimate business considerations. The Client’s fees will take into consideration the aggregate assets under management with Advisor. All securities held in accounts managed by Imprint will be independently valued by the designated Custodian. Imprint will not have the authority or responsibility to value portfolio securities. Clients may make additions to and withdrawals from their account[s] at any time, subject to Imprint’s right to terminate an account. Additions may be in cash or securities provided that Imprint reserves the right to liquidate any transferred securities or decline to accept particular securities into a Client’s account[s]. Clients may withdraw account assets on notice to Imprint, subject to the usual and customary securities settlement procedures. However, Imprint designs its portfolios as long-term investments and the withdrawal of assets may impair the achievement of a Client’s investment objectives. Imprint may consult with its Clients about the options and ramifications of transferring securities. However, Clients are advised that when transferred securities are liquidated, they are subject to transaction fees, fees assessed at the mutual fund level (i.e. contingent deferred sales charge) and/or tax ramifications. Use of Independent Managers For Client account[s] implemented through an Independent Manager, the Client’s overall fees may include Imprint’s investment advisory fee (as noted above) plus advisory fees and/or platform fees charged by the Independent Manager[s], as applicable. The Independent Manager may assume responsibility for calculating the Client’s fees and deduct all fees from the Client’s account[s]. In such instances, Imprint will not charge its fee separately on those assets. Financial Planning Services Imprint may include financial planning services in an overall wealth management engagement or contract for these services separately. The Advisor may also offer its services as a separate fixed project fee engagement ranging from $1,000 to $15,000. The Advisor’s fee is based on the complexity of the services to be provided and the experience level of the Advisory Person providing the services. An estimate for total costs will be provided to the Client prior to engaging for these services. Imprint provides ongoing consulting services as a stand-alone service. The fees associated with ongoing consulting range from $10,000 - $220,000. This fee is based on the complexity of the services to be provided and the experience level of the Advisory Person providing this service. An estimate for total costs will be provided to the Client prior to engaging for these services. Fees for financial planning services are generally based on factors including, but not limited to, the complexity and scope of the services to be provided, the time and resources required, and the overall relationship with the Advisor, and may be negotiable at the sole discretion of the Advisor. B. Fee Billing Investment Management Services Investment advisory fees will be calculated by the Advisor or its delegate and deducted from the Client’s account[s] at the Custodian. The Advisor shall send an invoice to the Custodian indicating the amount of the fees to be deducted from the Client’s account[s] at the respective quarter-end date. The amount due is calculated by applying the quarterly rate (annual rate divided by 4) to the total assets under management with Imprint at the end of the prior quarter. Clients will be provided with a statement, at least quarterly, from the Custodian reflecting deduction of the investment advisory fee. It is the responsibility of the Client to verify the accuracy of these fees as listed on the custodian’s brokerage statement as the Custodian does not assume this responsibility. Clients provide written authorization permitting Imprint to be paid directly from their accounts held by the Custodian as part of the investment advisory agreement and separate account forms provided by the Custodian. Item 7 – Types of Clients Imprint provides investment advisory services to individuals, high net worth individuals, families, trusts, estates, businesses, charitable organizations, and institutions. Imprint does not require a minimum relationship size. We generally require a minimum account size of 500.00 in order to effectively implement our investment process. This amount may be waived or reduced at our sole discretion, and we may accept clients or accounts below this general minimum based on factors such as anticipated growth, household relationships, or other circumstances. |
