Item 5 – Fees and Compensation
A    In consideration for our services, Clients pay us a fee quarterly in advance. Fees will be equal
     to the agreed upon rate per annum, times the market value of the account, divided by four.
     Accounts that commence management during the quarter will pay a pro-rated fee based on the
     number of full and partial weeks under management in the quarter divided by fifty-two The
     market value will be construed to equal the sum of the values of all assets in the account, not
     adjusted by any margin debit.

     Compensation to us for our services will be calculated in accordance with “Schedule A” of the
     Investment Advisory Agreement (“IAA”) which each Client enters into with our firm. We
     reserve the right to amend the IAA upon 30-days prior written notice to Client.

     For purposes of determining value, securities and other instruments traded on a market will be
     based on the end of quarter value on the Client’s brokerage account statement. Other readily
     marketable securities shall be priced using a pricing service or through quotations from one or
     more dealers. Notwithstanding the above, fees are generally negotiable.

     We also provide financial planning services for our Clients. Fees for our planning services are
     based on an hourly rate of $200.00 per hour, due at time the service is completed. We also
     perform certain financial planning projects on a fixed-fee basis. Services performed on a fixed-
     fee basis require a retainer equal to one-half the fixed fee. The remaining balance will be billed

       in equal installments on a monthly basis until the project is completed. All invoices are due
       within 10 days of invoice. Special arrangement may be made with Clients wishing to retain
       financial planning services on an ongoing basis.

B      Our fees may be paid directly to us from the account by the custodian holding a Client’s assets,
       upon submission of an invoice to custodian showing the amount of fees, the value of the
       Client’s assets on which the fees are based, and the specific manner in which the fees are
       calculated. Payment of fees may result in the liquidation of Client securities if there is
       insufficient cash in the account. Clients bear the responsibility for verifying the accuracy of
       fee calculations. In certain cases, we may invoice the Client directly, with payment due within
       10 days from the date of the invoice.

C      In addition to our fee, Clients may be required to pay a proportionate share of any mutual
       fund’s fees and charges, trade charges billed by the custodian, and other incidental charges
       from the custodian based on services provided.

D      The market value will be construed to equal the sum of the values of all assets in the account,
       not adjusted by any margin debit. Fees for partial quarters at the commencement or
       termination of this Agreement will be billed or refunded on a pro-rated basis contingent on
       the number of days the account was open during the quarter. Quarterly fee adjustments for
       additional assets received into the account during a quarter or for partial withdrawals will also
       be provided on the above pro rata basis.

E       While we are a fee-based investment advisory firm paid on a percentage of Client assets
        managed or per an hourly rate, representative(s) of our firm also derives commission
        compensation from the periodic sale of insurance products to our Clients.

Rollover Considerations
As a firm policy, we do not provide recommendations to clients with respect to the rollover of assets
between employer sponsored retirements accounts (e.g., 401(k), 457 plans, and 403(b) accounts) and
individual retirement accounts (e.g., Roth IRAs, Traditional IRAs, SIMPLE IRAs, and SEP IRAs).
Instead, the firm takes an educational approach in accordance with the U.S. Department of Labor’s
Interpretive Bulletin 96-1. Under this approach, our role will be strictly limited to providing you with
general educational materials regarding the nature and potential consequences of rollover transactions.
We will make no recommendation to you regarding the prospective rollover of your assets and we
advise clients to speak with their trusted tax and legal advisors with respect to all rollover decisions.
To assist your independent decision-making process, we may provide you with materials discussing
some or all of the following topics: the general pros and cons of rollover transactions; the benefits of
retirement plan participation; the impact of pre-retirement withdrawals on retirement income; the
investment options available inside your retirement plan account; and high level discussion of general
investment concepts (e.g., risk versus return, the benefits of diversification and asset allocation,
historical returns of certain asset classes, etc.). We may also provide you with questionnaires and/or
interactive investment materials that may provide a means for you to independently determine your

Item 7 – Types of Clients

We provide investment advice to individuals, pension and profit-sharing plans, trusts, estates or
charitable organizations and corporation or business entities other than those listed above. Because
each Client is unique, we encourage their involvement in the planning and ongoing management
processes. Such involvement does not have to be time consuming, however we want our Clients to
remain informed and have a sense of security about their investments.
