Item 5 – Fees and Compensation
The following describes our fees, so you will know how much you are charged and by whom for the
advisory services we provide you. Our fees are negotiable. Factors that may impact fees include the
scope and complexity of the services rendered, the amount of assets managed, and the number of
relationships with the client.

Fees are exclusive of brokerage commissions, transactions, fees and other related costs and expenses
(unless participating in our Wrap Fee program, see Item 4). Such expenses will be assessed to the client.
Clients may incur certain charges imposed by custodians, brokers, and third-party managers or other
third parties that TFCP does not control. These charges can include such things as deferred sales
charges, transfer taxes, wire transfer and electronic fund fees, brokerage account fees, and other fees,
charges or taxes. For further information related to our brokerage practices, please refer to Item 12.
Fees for Portfolio Management Services
For Investment Advisory services, our fees are billed quarterly in arrears, based on the average
weighted value of your account for the previous quarter. Fees will generally be automatically deducted
from your managed account in accordance with the method described in the IAA. TFCP does not accept
payment for these accounts in any other manner.
The following schedule is a general fee guideline; all fees are subject to negotiation:
Account Size Fee (Annual percentage)
Less than $1MM 1%
$1MM - $5MM .80%
$5MM+ Negotiable
Upon engagement, a client has five (5) business days to terminate the contract and receive a full refund
of any fees collected in advance without penalty. You will need to contact us in writing and state that
you wish to terminate our services. Upon receipt of your notice of termination, we will proceed to close
out your engagement and process a pro-rata charge of fees due.
Additional Compensation We Receive
As part of our investment advisory services to you, we may invest, or recommend that you invest, in
mutual funds and exchange traded funds. The fees that you pay to our firm for investment advisory
services are separate and distinct from the fees and expenses charged by mutual funds or exchange
traded funds (described in each fund prospectus) to their shareholders. These fees will generally
include a management fee and other fund expenses. You will also incur transaction charges and/or
brokerage fees when purchasing or selling securities. These charges and fees are typically imposed by
the broker-dealer or custodian through whom your account transactions are executed. We do not share
any portion of the brokerage fees/transaction charges imposed by the broker-dealer or custodian. To
fully understand the total cost you will incur, you should review all the fees charged by mutual funds,

exchange traded funds, our firm, and others. For information on our brokerage practices, refer to the
Brokerage Practices section of this brochure.
We may trade client accounts on margin. Each client must sign a separate margin agreement before
margin is extended to that client account. Fees for advice and execution on these securities are based
on the total asset value of the account, which includes the value of the securities purchased on margin.
While a negative amount may show on a client's statement for the margined security as the result of a
lower net market value, the amount of the fee is based on the absolute market value. This creates a
conflict of interest where we have an incentive to encourage the use of margin to create a higher
market value and therefore receive a higher fee. The use of margin may also result in interest charges in
addition to all other fees and expenses associated with the security involved. We mitigate this conflict
by evaluating the use of margin based on your specific investment objectives and risk tolerance,
ensuring its use is appropriate for your financial situation before recommending it.
Further, it is TFCP’s policy to select mutual fund share classes based on what is in the best interest of
each client under their circumstances without regard to compensation to the advisor or any affiliates.
TFCP has taken steps to minimize this conflict of interest, including by providing its advisors with tools,
training and guidance on this issue, as well as by conducting periodic reviews of client holdings in
mutual fund investments to ensure the appropriateness of mutual fund share class selections and
whether alternative mutual fund share class selections are available that might be more appropriate
given the client’s particular investment objectives and ant other appropriate considerations relevant to
the mutual fund share class selection. This mutual fund review is especially important when you
transfer in an account from a different investment advisor or broker dealer. |
