Item 5. Fees and Compensation
Program clients pay the Adviser an annual advisory fee of 0.30% of assets under management for Robo
Advisor accounts (the “Advisory Fee”). The Advisory Fee is calculated daily based on the net market value
of the account as of the close of the New York Stock Exchange (or the immediately preceding trading day
when the market is closed), divided by 365 (or 366 in a leap year), and billed monthly in arrears. The
Adviser is authorized to deduct the Advisory Fee directly from the client’s custodial account in accordance
with the applicable account agreements.
The Adviser currently offers one standard Robo Advisor fee schedule. The Adviser may, in its discretion,
waive, reduce, or otherwise modify fees for certain clients or partner programs. The greater the value of
assets in a client’s account, the more the client will pay in fees, and the Adviser therefore has an incentive
to encourage clients to increase assets in advisory accounts.
The Advisory Fee is separate from, and in addition to, the fees and expenses charged by the ETFs held in
Program accounts, as well as any brokerage, custodial, transaction,spread, or other fees charged by the
applicable custody or execution provider. Clients will pay fees and expenses whether they make or lose
money. Those fees and expenses reduce overall returns over time.
The Adviser does not currently charge an advisory fee for self-directed securities access, educational
themes, market news, the AI FAQ/chatbot, or recurring-order functionality. However, clients using those
features may incur transaction, custodial, spread, or other fees under their separate account agreements
with the relevant provider(s).

Item 7. Types of Clients
The Adviser’s services are generally available to U.S. persons who are lawful residents of the United
States and who meet the account-opening requirements of the applicable advisory, custodial, and platform
agreements. The Robo Advisor Program currently has a $100 minimum funding threshold unless otherwise
waived or modified for a partner program. Minimums or order thresholds for self-directed securities,

recurring orders, digital assets, or precious metals may differ and are governed by the applicable account
agreements and product disclosures.
 • The Adviser’s relationship with clients is primarily electronic. Clients generally agree to receive required
    disclosures, statements, and other communications electronically.
 • The Adviser relies on information the client provides through the onboarding and suitability process. If
    that information is inaccurate, incomplete, or not updated, the recommended portfolio or services may
    be unsuitable.
 • The Adviser does not provide comprehensive financial planning and generally does not take into
    account outside accounts, concentrated stock positions, debt obligations, employer benefits, tax
    circumstances, or estate-planning considerations.
