ITEM 5 FEES AND COMPENSATION
Individually Managed Accounts
The Firm bases its fees on a percentage of assets under management per annum.
Fees for individually managed accounts are blended and priced as follows:

*Accounts may be aggregated at the household level to determine blended pricing.
Our advisory fee is negotiable and will not exceed an annualized fee of 1.00%. The exact
fee structure applicable to your accounts will be clearly stated in the portfolio management
agreement.
All asset-based fees are deducted by the qualified custodian of record monthly, in advance based
on the previous month’s average daily balance as reported by the qualified custodian, or as
otherwise indicated in the client agreement. Client statements for prior deductions will be
provided on, at least, a quarterly basis.
All fees paid to the Firm for investment advisory services are separate and distinct from the
expenses charged by third-party managers and investment companies to their shareholders.
These fees and expenses are described to the client in separate disclosures. These fees will
generally include third-party management fees, an investment company management fee, other
fund expenses, and in some situations a possible distribution fee.
The Firm will provide investment advisory services and portfolio management services but will
not provide custodial or other administrative services. At no time will the Firm accept or
maintain custody of a client’s funds or securities except for authorized fee deduction. The Client
may contact the Custodian directly for disbursements, or account record changes, and may also
do so in writing to the custodian. The Firm may act at the client’s convenience to facilitate such
written communications to the Custodian, provided that such action is not construed to be
custody of client assets.
Client is responsible for all custodial and securities execution fees charged by the custodian and
executing broker-dealer. Fees paid to the Advisor are separate and distinct from the custodian
and execution fees.

Clients may request to terminate their advisory contract with VQA in whole or in part, by
providing advance written notice. Upon termination, any fees paid in advance will be prorated to
the date of termination and any excess will be refunded to the Client through the Custodian.
Client’s agreement with the Firm is non-transferable without Client’s written approval.
Financial Planning and Consulting Fees
We charge an hourly fee of $200.00 for financial planning services, which is negotiable
depending on the scope and complexity of the plan, your situation, and your financial
objectives. The first hour is payable in advance, as a deposit. An estimate of the total
time/cost will be determined at the start of the advisory relationship. In limited
circumstances, the cost/time could potentially exceed the initial estimate. In such cases, we
will notify you and request that you approve the additional fee.
Fees are due upon completion of services rendered.
You may terminate the financial planning agreement by providing written notice to our
firm. You will incur a pro rata charge for services rendered prior to the termination of
the agreement.
Pension Consulting Fees
Fees for Pension Consulting are negotiable and determined on a case-by-case basis. The
maximum annual advisory fee for clients paying a percentage of assets under management is
1.00%. This fee is assessed monthly or quarterly, in arrears or advance. The specific fee charged
to a client and billing frequency is set forth in each client’s Agreement. In most cases, such fees
will be calculated and automatically deducted from the plan by the custodian and paid to VQA.
Should a retirement plan client open an account during the quarter, the Firm’s advisory fee will
be prorated based on the actual number of days the account was open during the quarter. In the
event the Firm’s services are terminated mid-quarter, any paid, unearned fees will be promptly
refunded to the Client, and any earned, unpaid fees will be due and payable to VQA.
Fee Deduction Disclosure:
Where VQA deducts its management fee from Client accounts utilizing a qualified custodian,
VQA is required to meet the following requirements:
• Possess written authorization from the Client to deduct advisory fees from an account
held by a qualified custodian; and
• The Firm must send the qualified custodian a written notice detailing the fee amount to
be deducted from the Client account.
Clients receive account statements directly from their qualified custodian(s) at least quarterly.

Right of Cancellation
In addition to the right to terminate an agreement pursuant to its terms, a Client may cancel an
agreement with the Firm within five (5) business days of first receiving a copy of this disclosure
brochure and supplement without penalty or fee.
Compensation for the Sale of Securities
Neither VQA nor any of its supervised persons receive compensation for the sale of securities or
other investment products, including asset-based sales charges or service fees from the sale of
mutual funds. |
