Item 5 Fees and Compensation The specific manner in which fees are charged by WE LLC is established in the client’s investment advisory contract, signed by each Client. The Client will pay WE LLC an annual management fee quarterly, in arrears, based on either the average daily value of portfolio assets of the account or on the last business day of the preceding quarter, depending on which Custodian holds the Client's assets. Based on the Custodian's billing process, assets received in the middle of the billing period will be prorated and billed at the end of the quarter. The maximum management fee is 1.00%, which may be negotiated at the sole discretion of the Adviser. Asset management fees will be deducted directly from the Client’s account quarterly by the qualified Custodian. The Client will give written authorization permitting the Adviser to be paid directly from their account held by the Custodian. Termination of the contract will not affect any liabilities or obligations of the parties from transactions initiated before termination of this Agreement or a client’s obligation to pay advisory fees in arrears (pro-rated through the date on which termination is effective). WE LLC’s fees exclude brokerage commissions, transaction fees, and other related costs and expenses incurred by the client. Clients could incur certain charges imposed by custodians, brokers, third-party investment, and other third parties, such as fees charged by managers, custodial fees, deferred sales charges, odd-lot differentials, transfer taxes, wire transfer and electronic fund fees, and other fees and taxes on brokerage accounts and securities transactions. Mutual funds and exchange-traded funds also charge internal management fees, which are disclosed in the fund’s prospectus. Such charges, fees, and commissions are exclusive of and in addition to WE LLC’s fee, and WE LLC shall not receive any portion of these commissions, fees, and costs. Retirement Plan Advisory Services WE LLC will require each Plan Client to make a selection of services in writing as part of the Retirement Plan Advisory Agreement(s) (the “Plan Agreement”), which sets forth the rights and obligations of WE LLC and the Client. Fees for Retirement Plan Advisory Services are negotiated prior to the signing of the Plan Agreement. The Plan Agreement is then customized to state the negotiated fee, which generally is expressed as a percentage of total Plan assets, up to 1.00%. Advisory fees for retirement plan services are billed quarterly, in arrears, based on the average daily value of the account assets. Plan Client will give written authorization permitting the Adviser to be paid directly from their account held by the Custodian. Fees may be directly billed to the Client or to a third-party administrator (“TPA”) or custodian at the Client’s instruction. The initial fee will be prorated according to the number of days remaining in the calendar month. If a Plan Client’s assets are held with Folio, the custodian will deduct advisory fees directly from the plan participant’s account. The advisory fees and transaction charges do not cover charges imposed by third parties for investments held in the account, such as commissions or similar transaction-based fees, contingent deferred sales charges, or 12(b)-1 trails on mutual funds. In addition, each mutual fund or third- party investment manager charges asset management fees and the advisory fees charged by the Firm. The fees charged by such funds or managers are disclosed in each fund’s prospectus or Manager’s ADV Part 2A. Accounts may require a minimum advisory fee or quarterly maintenance fee, which will be detailed in the applicable advisory agreement. The Management Fee also does not cover fees and charges in connection with debit balances, margin interest, odd-lot differentials, IRA fees, transfer taxes, exchange fees, wire transfers, extensions, non-sufficient funds, mailgrams, legal transfers, bank wires, postage, costs associated with exchanging foreign currencies, and SEC fees or other fees or taxes required by law. WE LLC does not recommend mutual funds with 12(b)-1 fees. If a fund with 12(b)-1 fees is transferred into an account with WE LLC, we will request a share class exchange or trade the fund. Any 12(b)-1 fees charged by the fund are not paid to the firm. Neither WE LLC nor its supervised persons accept compensation for the sale of securities or other investment products, including asset-based sales charges or service fees from the sale of mutual funds. Upon notification of the death of a client, WE LLC will cease advisory services. No additional trading or liquidations will occur, and the account will be frozen until the necessary documents are provided to transfer the account to the individual’s estate, joint owner, or beneficiary, as applicable, based on the account type and instructions set up by the client. In addition, all POAs will be canceled. Any prepaid, asset-based fees will be prorated to the date the Firm was notified and rebated to the client. Upon written receipt of notice to terminate its client agreement and unless specific transfer instructions are received, WE LLC and its agent will cease advisory services. Should the client provide specific instructions to liquidate, WE LLC will proceed with liquidating the client’s account in an orderly and efficient manner. There will not be a charge by WE LLC for such redemption; however, the client should be aware that certain mutual funds impose redemption fees as stated in each company’s fund prospectus in certain circumstances. Clients must keep in mind that the decision to liquidate security issues or mutual funds may result in tax consequences that should be discussed with the client’s tax adviser. Item 7 Types of Clients The Adviser provides portfolio management services for individuals, corporations, business entities, pension and profit-sharing plans, charitable institutions, foundations, endowments, estates, and trusts. The Adviser's cumulative minimum account requirement for opening and maintaining an account is $1,000,000. However, WE LLC has the discretion to waive the account minimum. |
