Item 5: Fees and Compensation
A. Fee Schedule
Lower fees for comparable services may be available from other sources.
Portfolio Management Fees
Total Assets Under Management Annual Fees
All Assets Up to 2.04%
Fees are paid in arrears. The “Turnkey Asset Management Program”(TAMP) uses either
an average of the daily balance in the client’s account throughout the billing period or the
balance in the client’s account on the last day of the billing period to determine the market
value of the assets upon which the Portfolio Management Fee is based. The billing will be
determined and memorialized in the advisory agreement for each client. Advisory fees
are calculated based on account values obtained from the custodian. Due to differences in
valuation methodologies (including number of decimal points and rounding), there may
occasionally be very small differences between our fee calculation and the custodian’s
figures. These differences are typically minimal, under .05% of the advisory fee, so should
not materially impact the fee you pay.
Turnkey Asset Management Program Fees
The TAMP will debit the entire fee directly from the client’s account. This fee consists of
the Portfolio Management Fee and the TAMP’s “Platform Fee”. The TAMP’s Platform Fee
(0.00%-0.5%+ $0-$75/yr) will be in addition to the fee that is charged by CWML. The
TAMP will credit CWML with the portion of the fee that consists of the Portfolio
Management Fee. For example, if CWML’s Portfolio Management Fee is 2.00% and the
TAMP’s Platform Fee is 0.15%, the TAMP will have debited a total annual fee of 2.15%
and credit CWML 2.00%.
These fees are generally negotiable and the final fee schedule will be memorialized in the
client’s advisory agreement. Clients may terminate the agreement without penalty for a
full refund of CWML's fees within five business days of signing the Investment Advisory
Contract. Thereafter, clients may terminate the Investment Advisory Contract generally
with 30 days' written notice.
Retirement Plan Services
The fee for 401(k) Plan Services is a total Program Fee based on factors such as account
size, selected service model or strategy, and complexity of services provided. CWML’s
portion of this fee is generally negotiable but will be a percentage of the total plan assets,
per year (annually), and will never exceed 2.04%. Fees are aggregated and deducted
directly from the client’s account by OPS in accordance with the client agreement. OPS
will remit CWML’s portion of the fee to CWML. Fees may be negotiable at CWML’s
discretion.
In addition to the Program Fee, clients may incur other expenses. These costs are separate
from, and in addition to, the Program Fee.
B. Payment of Fees
Payment of Portfolio Management Fees
Asset-based portfolio management fees are withdrawn by the TAMP directly from the
client's accounts with client's written authorization on a monthly or quarterly basis. Fees
are paid in arrears.
Payment of Turnkey Asset Management Program Fees
Each TAMP will collect fees for Catalyst Wealth Management LLC. The TAMP works
directly with a custodian, and fee bills the account for us. Each TAMP collects its fees a
little differently, but the fees are all collected in arrears, never in advance, and either is
based on the account value for the end of the billing cycle or on the average daily balance,
including any contributions and withdrawals during the period. These fees are paid either
monthly or quarterly.
C. Client Responsibility For Third Party Fees
Clients are responsible for the payment of all third-party fees (i.e. custodian fees,
brokerage fees, mutual fund fees, transaction fees, etc.). Those fees are separate and
distinct from the fees and expenses charged by CWML. Please see Item 12 of this brochure
regarding broker-dealer/custodian.
D. Prepayment of Fees
CWML collects its fees in arrears. It does not collect fees in advance.
E. Outside Compensation For the Sale of Securities to Clients
Investment adviser representatives of CWML are registered representatives and licensed
as insurance agents of Innovation Partners (CRD#: 146344). In these roles, they accept
compensation for the sale of investment products to CWML clients.
1. This is a Conflict of Interest
Supervised persons may accept compensation for the sale of insurance products. This
presents a conflict of interest and gives the supervised person an incentive to
recommend products based on the compensation received rather than on the client’s
needs.
2. Clients Have the Option to Purchase Recommended Products From
Other Brokers
Clients always have the option to purchase CWML recommended products through
other brokers or agents that are not affiliated with CWML.
3. Commissions are not CWML's primary source of compensation for
advisory services
Commissions are not CWML’s primary source of compensation for advisory services.
4. Advisory Fees in Addition to Commissions or Markups
Advisory fees that are charged to clients are not reduced to offset the commissions or
insurance products recommended to clients. |
