ITEM 5        FEES AND COMPENSATION

❖ Management/Sub-Advisory Fees

Generally, the Adviser charges fees based on a percentage of net assets under management. With respect
to Funds, the Adviser’s fees are set forth in each Fund’s offering document or disclosure documents (and
further detailed in the investment management agreement and/or limited partnership agreement (or
equivalent) between the Fund and the Adviser). For SMAs, the Adviser’s fees are detailed in the investment
management agreement (however captioned, the “IMA”) between the Adviser and such institutional
investor’s SMA. Advisory fees may be billed either monthly or quarterly, in advance or in arrears, and are
deducted from the Client Account or billed to the Client, as agreed to with the Client under the IMA.

Typically, either the Adviser or the Client may terminate an IMA at any time by written notice given to
the other party at least 30 days prior to the date on which such termination is to take place, or as may
otherwise be provided in the IMA. In the event of termination of the IMA or if fees are charged in arrears,
fees will be pro-rated based on the termination date.

❖ Additional Fees

In most cases, i n t h e context of fixed income securities, a third-party broker executing a trade will earn
a mark-up/mark-down. The Adviser and its supervised persons do not receive compensation for the sale
of securities or other investment products, including from the sale of the Registered Funds, to the extent
applicable, and do not earn commissions or other transaction fees in connection with directing
investment advisory/management trade orders to third party brokers for execution. The Adviser does not
execute transactions through an affiliated broker-dealer. Please refer to Item 12, “Brokerage Practices,”
for additional information.

ITEM 7        TYPES OF CLIENTS

The Adviser serves as an adviser or sub-adviser to affiliated and unaffiliated Registered Funds, UCITS
Funds, Private Funds and CITs. The limited partnership interests, shares or membership interests, as
applicable, in the Private Funds are not registered under the U.S. Securities Act of 1933, as amended (the
“Securities Act”), and the Private Funds are not registered under the Investment Company Act.
Accordingly, interests in the Private Funds are offered and sold to investors pursuant to an exemption from
registration under the Securities Act and prospective investors must satisfy certain applicable eligibility and
suitability requirements.

Further, the Adviser provides investment advisory services to institutional investors including, but not
limited to, sovereign wealth funds, pension funds, insurance companies, financial institutions, settlement
trusts, foundations and endowments, and corporations through SMAs. The determination or willingness for
the Adviser to enter into a SMA may be subject to minimum asset levels determined by the Adviser in its
sole discretion.
