Item 5. Fees and Compensation
Management Fees
For our investment advisory services through the Program, you will pay an annualized management fee
between 0.50% and 1.00% (depending on the Model selected) of the net assets of your Account
(“Management Fee”) for the standard Models and between 0.20% and 1.00% for the Delverage Models.
The Management Fee accrues daily, based on the daily market value of the Account over the prior month
(“Account Value”), and paid monthly in arrears. The current standard Management Fee schedule is set
forth below.
● 130% Long/30% Short Model: 0.50% Annual Management Fee
● 145% Long/45% Short Model: 0.60% Annual Management Fee
● 175% Long/75% Short Model: 0.75% Annual Management Fee
● 200% Long/100% Short Model: 1.00% Annual Management Fee
Deleverage Models (These Models are in addition to the Models above, are not available as standalone
Models, and can only be utilized as deleveraging options with the Deleverage Election)
● 115% Long/15% Short Model: 0.35% Annual Management Fee
● Long-Only Equity Model: 0.20% Annual Management Fee
If the Advisory Agreement is executed or terminates on a day other than the first day of a month, the
Management Fee will be prorated based on the number of days that Cache provides advisory services in
the applicable month. Fees will also be prorated for additions or withdrawals of assets on a day other than
the first day of a billing period. Equity securities listed or traded on a national securities exchange or
quoted on the over-the-counter market are valued at the last sales price on the day of valuation or, if no
sale price is reported, at the last bid price. Other assets and securities for which market quotations are not
readily available are valued at fair market value as determined in good faith by the Adviser or the
applicable Subadvisor (as the case may be), in accordance with its valuation policies.
Unless otherwise agreed with a Client, we will deduct our Management Fee directly from the Client’s
Account through the Custodian when the Client has given Cache written authorization permitting the fees
to be paid directly from the Account. Further, the Custodian will deliver an account statement to you at
least quarterly. These account statements will show all disbursements from your Account. You should
review all statements for accuracy. Cache will use a portion of the Management Fee it receives to
compensate the Subadviser for its investment subadvisory services.
Fee Changes
Cache may, at its sole discretion, modify, waive or reduce its Management Fee for any Client. This
includes introductory discounts that may be offered to new Clients for a limited period, as well as
discounts based on account size. Additionally, Cache may reduce or waive its fee for some clients without
notice, our Management Fee is negotiable, on a case-by-case basis.
Other Fees and Expenses
In addition to the Management Fees that Clients pay to us, they also pay fees to third parties in
connection with their Accounts. Such fees may include, but are not limited to:
● custodial fees to the Program Custodian,
● margin and other borrowing fees,
● brokerage commissions or mark-ups/markdowns to broker-dealers who execute transactions for
their accounts (for more information on brokerage practices, please refer to Item 12 below), and
● fees, transfer taxes, and/or stamp duties of governments or regulators in jurisdictions where their
securities are purchased or sold. |

Item 7. Types of Clients Cache offers the advisory services via the Program primarily to high-net-worth individuals and trusts, and may support a limited number of entity Accounts such as limited liability corporations. Not all clients or prospects will be appropriate for the Program. The Program is designed to provide investment advisory services to Clients who reside in the U.S., who have regular internet access, and who are comfortable investing in securities through a digital investment experience. Participation in the Program requires that the Client complete an account application and to be approved for an account with Schwab and with Cache. As discussed in Item 4 above, Clients are required to enroll in electronic delivery in order to participate in this Program. In general, a Client must initially invest a minimum of $1,000,000, and maintain a minimum balance specified by Cache or our custodian, in each Client Account to invest in the 130/30 or 145/45 leverage models and initially invest a minimum of $3,000,000 and maintain a minimum balance to invest in the 175/75 or 200/100 leverage models. Cache or our Custodian may waive or change this minimum investment amount on a case-by-case basis in its sole discretion. After a Client Account is established, we reserve the right to suspend trading, discontinue management and/or close an Account if a Client fails to fund the Account minimum or the Account balance falls below the specified minimum, and a Client does not deposit additional money into the Client Account. Account values below the minimum can cause deviation from the target asset allocation outside of the established portfolio management parameters. |
