ITEM 5: FEES AND COMPENSATION HSPW receives compensation for serving as the investment adviser to the Registered Funds. The fees for such services are charged at an annual rate as a percentage of the assets of each Registered Fund. Currently, the annual rate applied ranges between 0.55% and 1.15%, as disclosed in the Prospectus for each Registered Fund. The fees accrue daily on the average daily net asset value of each Registered Fund and are paid quarterly in arrears out of the assets of each Interval Fund and monthly in arrears out of NFRX. Investors in VCMIX pay sub-advisory fees for the portion of the Fund managed by Sub-Advisers. In addition, investors in the Registered Funds bear certain expenses related to the operations of each Fund. These expenses include, but are not limited to, administrative, organizational, research and investment related expenses, such as brokerage commissions, legal fees, director’s fees, accounting fees, audit fees and other professional fees and expenses, and, for the Interval Funds, indirect fees and expenses of the underlying Private Funds, arrangement and monitoring fees related to Private Debt investments, and fees for maintaining and utilizing a line of credit. These expenses are typically accrued daily and incorporated in the Registered Fund’s share price. For additional detail on these fees and expenses, please refer to the Prospectus of each Registered Fund. For additional information on the Company’s brokerage practices, please refer to Item 12: Brokerage Practices in this brochure. HSPW does not currently receive any compensation for serving as the investment adviser to the three PIFs. Each PIF does, however, bear the custodial and trustee fees associated with the ongoing management of each fund. Also, because each PIF invests primarily in unaffiliated mutual funds, they will share in the underlying management, trading and administrative expenses of each mutual fund in which they are invested. |

ITEM 7: TYPES OF CLIENTS The Interval Funds are generally sold to (i) institutional investors, including registered investment advisers, banks, trust companies or similar financial institutions investing for their own account or for accounts for which they act as a fiduciary and have authority to make investment decisions (subject to certain limitations) and clients of such institutional investors that have accounts for which such institutional investors are bound by an applicable fiduciary standard, and (ii) the executive officers, directors, general partners, or employees of the Interval Funds or the Company. The minimum initial investment per institutional investor in each Interval Fund (including, with respect to clause (i) above, cumulative investments of the clients of any institutional investor of an Interval Fund) is $10 million and the minimum for those investors defined by clause (ii) above is $10,000. The Company has the authority to waive the minimum investment requirements or allow investors in the Interval Funds who do not fit the above descriptions under certain circumstances. There is no minimum amount for subsequent purchases of shares. While the Company generally markets NFRX to the same institutional investor audience described above, NFRX does not have any investment minimums and is generally available to eligible retail investors. Please refer to the relevant Prospectus for detailed information on the requirements to invest in each Registered Fund. As discussed above, HSPW provides investment advice to three PIFs and the Registered Funds. The PIFs no longer accept new investors. |
