Item 5: Fees and Compensation

    A. Fee Schedule
I8IL’s wrap-fee program for both discretionary and non-discretionary accounts charge a single annual fee that
includes the Firm’s investment advisory fee. Additional information about I8IL’s wrap-fee program is provided
in Appendix 1 of this brochure.

Breakpoint Pricing
I8IL’s wrap fee program uses a breakpoint fee pricing method. The commonly used pricing structure that
investment advisors use is tiered fee pricing.

To calculate the annual fee under breakpoint fee pricing, match the breakpoint asset range to the value of your
portfolio, then match the fee under the proposed portfolio type (Target Return, Balanced, and Managed ETF).
For example, if a client had $625,750 under management in the target return portfolio, the annual fee under
the breakpoint fee pricing would be 0.775%.

Using the same example, the annual fee under tiered fee pricing would be 0.875%. This is because under tiered
fee pricing the first $300,000 is charged at 0.925%, the next $200,000 is charged at 0.850%, and the last
$100,000 is charged at 0.775%. In summary, with breakpoint fee pricing, only one simple calculation is needed
to determine the annual fee.

    B. Payment of Fees
I8IL’s wrap fee program's single annualized fee is prorated quarterly and charged in arrears. The prorated
quarterly fee calculation is based upon the average daily balance of the assets during the quarter. The quarterly
charge will be deducted from the client's account(s) and shown on your account statement. A designated single
billing account can be arranged for clients with multiple accounts under management.

    C. Client Responsibility for Third Party Fees

The I8IL wrap-fee program does not include the internal expenses of mutual funds, ETFs, money market funds,
or other pooled investment vehicles held in the account, such as investment advisory, administrative, and
distribution (12b‑1) fees.

The I8IL wrap-fee program does not cover certain charges associated with securities transactions in the account,
including any applicable spreads, markups/markdowns on fixed income or OTC securities, and any brokerage
charges imposed when trades are executed through broker‑dealers other than Fidelity or its affiliates.

The I8IL wrap-fee program does not cover the common third-party fees and pass-through costs below.

Fund and product costs
Expense ratios and other internal expenses of mutual funds, ETFs, and other pooled vehicles (including any
acquired fund fees and expenses).

Embedded costs associated with structured products or other complex instruments where the economic cost is
reflected in the issue price or spread rather than an explicit commission.

Trading and execution costs not included in the wrap-fee program
“Trading away” or step‑out trades where a manager directs transactions to a broker other than Fidelity; clients
bear any additional commissions, markups/markdowns, or transaction fees charged by that broker.

Markups/markdowns and bid‑ask spreads on fixed income, CDs, and other OTC securities, even when there is
no explicit ticket charge shown on the confirmation.

Account, service, and plan‑related fees
Certain account‑level fees charged by Fidelity or third parties, such as wire transfer fees, overnight delivery,
returned check fees, account termination or transfer (ACAT) fees, and, where applicable, retirement‑account
maintenance or plan‑level administrative fees.

Any separate charges for financial planning, specialized reports, or other services that Fidelity or a third‑party
provider may bill outside the managed‑account “Program Fee,” if you do not fully absorb those costs.

Taxes and regulatory/foreign charges
Any federal, state, local, or foreign taxes; ADR sponsorship or custody fees; foreign transaction taxes; or other
regulatory charges that may be imposed in connection with securities transactions or holdings and are not
bundled into the wrap-fee.

    D. Prepayment of Fees
I8IL bills its advisory fees in arrears and does not bill or collect fees in advance.

    E. Outside Compensation for the Sale of Securities to Clients
I8IL does not receive additional compensation from the purchase or sale of any security or other investment
products.
